Legal Advisors. The offices of the Los Angeles County Counsel and Los Angeles City Attorney shall serve jointly as the legal advisors to the SFVCOG. Each Member’s City Attorney and the County Counsel will continue to represent their own jurisdictions on all legal matters within their purview; provided, however, in the event of a potential or actual conflict of interest between the County or the City of Los Angeles on the one hand and the SFVCOG on the other, then the County Counsel or the Los Angeles City Attorney (whichever has the conflict) shall create an ethical wall within its office, and the attorney(s) advising the Member and its Board Representative(s) shall be different than the attorney(s) advising the SFVCOG. Such ethical wall shall include procedures or methods to ensure there are no communications between the walled off attorneys related to confidential communications and matters giving rise to the conflict.
Legal Advisors. Such Investor acknowledges that such Investor has had the opportunity to review this Agreement, the exhibits and the schedules attached hereto and the transactions contemplated by this Agreement, the Debt Financing and the Asset Purchase Agreement with such Investor's own legal counsel. Each such Investor is relying solely on such Investor's legal counsel and, except with respect to the opinion to be delivered to the Investors pursuant to Section 4.1 hereof, not on any statements or representations of the Company or any of the Company's agents, including Lowenstein Sandler PC or Chadbourne & Parke LLP, for legal advice wxxx xxxxxxx xx xxxx invesxxxxx xx xhe xxxxxactions contemplated by this Agreement.
Legal Advisors. Such Investor acknowledges that such Investor has had the opportunity to review this Agreement, the exhibits and the schedules attached hereto and the transactions contemplated by this Agreement and the Disclosure Letter with such Investor’s own legal counsel. Each such Investor is relying solely on such Investor’s legal counsel and, except with respect to the opinions to be delivered to the Investors pursuant to Sections 5.4 and 8.4 hereof, not on any statements or representations of the Company or any of the Company’s agents, including Xxxxxxxxx Xxxxx Xxxxxxx & Xxxxx PC, for legal advice with respect to this investment or the transactions contemplated by this Agreement.
Legal Advisors. The parties hereto agree that upon the execution and delivery of this Agreement, Agha & Agha LLP shall be engaged by Newco as its U.S. legal counsel in relation to the transactions contemplated hereby. The appointment of Agha & Agha LLP to represent Newco does not limit the right of each Contributing Stockholder to appoint its own legal advisors in connection with the transactions contemplated hereby. If a Contributing Stockholder desires separate legal representation in connection with the transactions contemplated hereby, it may retain a separate legal advisor, provided that such Contributing Stockholder shall be solely responsible for the fees and expenses of such advisor.

The appointment of Xxxxx Lord LLP to represent Newco does not limit the right of each Contributing Stockholder to appoint its own legal advisors in connection with the transactions contemplated hereby. If a Contributing Stockholder desires separate legal representation in connection with the transactions contemplated hereby, it may retain a separate legal advisor, provided that such Contributing Stockholder shall be solely responsible for the fees and expenses of such advisor.

Box, email, telephone and fax numbers) of the internal or external legal advisors of the applicant (in the event of a juridical person, state the name of the main contact). Legal Advisors. CaReady Health and the Marketeer both reserve the right to approach their legal advisors at any point of the dispute resolution process. Upon any party breaking the law, both CaReady Health and the Marketeer may approach the South African Police Service with the aim of upholding the laws of the country.

Geo., Vice President of Exploration of Nevada Lithium, and a qualified person as defined by National Instrument 43-101 Standards of Disclosure for Mineral Projects ("NI 43- 101"), supervised the preparation of the technical information in this news release. Xx. Xxxxx is not independent as he is the Vice President of Exploration of Nevada Lithium. Xxxxxxx Xxxx, X.Xx., X.Xx., P.Geo, CEO of Iconic, and a qualified person as defined by NI 43-101, has reviewed and approved the technical information contained in this news release. Xx. Xxxx is not independent as he is the President and CEO of Iconic.

In connection with the Purchaser's investment in the Common Shares, the Purchaser has not relied upon the Corporation or the Corporation's legal counsel or advisors or the Agent or the Agent's legal counsel or advisors for investment, legal or tax advice, and has, if desired, in all cases sought the advice of the Purchaser's own personal investment advisor, legal counsel and tax advisors, and the Purchaser is either experienced in or knowledgeable with regard to the affairs of the Corporation or, either alone or with its professional advisors, is capable by reason of knowledge and experience in financial and business matters in general, and investments in particular, of evaluating the merits and risks of an investment in the Common Shares, and it is able to bear the economic risk of an investment in the Common Shares and can otherwise be reasonably assumed to have the capacity to protect its own interest in connection with the investment.
