Land Sales Act. On 29th November 1988 he received a letter from the plaintiffs' solicitors stating that they were ready, willing and able to settle and nominating a time and place for settlement. Before considering whether the agreement between the parties was rendered illegal, void and unenforceable because it contravened the provisions of the Land Sales Act, it is necessary to determine what was the agreement between the parties. It was submitted for the plaintiffs that there were two contracts on foot, the earlier oral agreement and the later written agreement. In the plaintiffs' amended reply, it is alleged that the oral agreement made between the plaintiffs and the defendants in or about the month of April 1988 was one by which the defendants agreed to sell and the plaintiffs agreed to buy the land referred to in para. 2 of the statement of claim, road licences, certain improvements and chattels for the price of $500,000.00. It is then alleged: 2B It was a term of the said agreement that the plaintiffs were to pay as and by way of a deposit the sum of $30,000.00, which sum was paid on or about the 22nd day of April, 1988. 2C It was a further term of the said agreement that the date for completion of the said agreement was 1st December, 1988. 2D It was a further term of the said agreement that time was of the essence. 2E It was a further term of the said agreement that the plaintiffs were to be entitled to cultivate and to the benefit of a ratoon sugar cane crop upon the said land to be harvested in 1989. 2F It was a further term of the said agreement that part of the land described as Lot 2 on R.P. 736743 containing an area of 2,000 square metres (subsequently orally varied to 9272 square metres) was to be retained by the defendant Xxxxxxxx Xxxxxxx and that the said Xxxxxxxx Xxxxxxx was to cause a plan of survey to be made, approved by the relevant Local Authority, and registered in the Titles Office in relation to the second part. A comparison with ex. 1 shows that it does not include a clause corresponding to cl. 2E. Nor does it contain the alleged oral variation in 2F. So far as the alleged oral variation is concerned, it appears that there was no oral agreement to vary the agreement, but rather that the defendant Xxxxxxxx Xxxxxxx unilaterally extended the excised area, and that this was acquiesced in by the plaintiffs. Land Sales Act. Buyer represents and warrants that (i) Buyer is a duly organized and validly existing business entity; (ii) Buyer is purchasing the Land for its own use and development in the ordinary course of its business; (iii) Buyer has been represented in the negotiations regarding the subject purchase by a representative of its own choosing; (iv) Buyer does not intend for this transaction to be subject to the Land Sales Act; and (v) Buyer has personally inspected the Land prior to the execution of this Agreement.

  • CARES Act Counterparty represents and warrants that neither it nor any of its subsidiaries has applied, and neither it nor any of its subsidiaries shall until after the first date on which no portion of the Transaction remains outstanding following any final exercise and settlement, cancellation or early termination of the Transaction, apply, for a loan, loan guarantee, direct loan (as that term is defined in the Coronavirus Aid, Relief and Economic Security Act (the “CARES Act”)) or other investment, or to receive any financial assistance or relief under any program or facility (collectively “Financial Assistance”) that (i) is established under applicable law (whether in existence as of the Trade Date or subsequently enacted, adopted or amended), including without limitation the CARES Act and the Federal Reserve Act, as amended, and (ii) (A) requires under applicable law (or any regulation, guidance, interpretation or other pronouncement of a governmental authority with jurisdiction for such program or facility) as a condition of such Financial Assistance, that Counterparty or any of its subsidiaries comply with any requirement not to, or otherwise agree, attest, certify or warrant that it or any of its subsidiaries has not, as of the date specified in such condition, repurchased, or will not repurchase, any equity security of Counterparty, and that neither it nor any of its subsidiaries has, as of the date specified in the condition, made a capital distribution or will make a capital distribution, or (B) where the terms of the Transaction would cause Counterparty or any of its subsidiaries under any circumstances to fail to satisfy any condition for application for or receipt or retention of the Financial Assistance (collectively “Restricted Financial Assistance”); provided that Counterparty or any of its subsidiaries may apply for Restricted Financial Assistance if Counterparty either (x) determines based on the advice of outside counsel of national standing that the terms of the Transaction would not cause Counterparty or any of its subsidiaries to fail to satisfy any condition for application for or receipt or retention of such Financial Assistance based on the terms of the program or facility as of the date of such advice or (y) delivers to Dealer evidence or other guidance from a governmental authority with jurisdiction for such program or facility that the Transaction is permitted under such program or facility (either by specific reference to the Transaction or by general reference to transactions with the attributes of the Transaction in all relevant respects). Counterparty further represents and warrants that the Premium is not being paid, in whole or in part, directly or indirectly, with funds received under or pursuant to any program or facility, including the U.S. Small Business Administration’s “Paycheck Protection Program”, that (a) is established under applicable law (whether in existence as of the Trade Date or subsequently enacted, adopted or amended), including without limitation the CARES Act and the Federal Reserve Act, as amended, and (b) requires under such applicable law (or any regulation, guidance, interpretation or other pronouncement of a governmental authority with jurisdiction for such program or facility) that such funds be used for specified or enumerated purposes that do not include the purchase of the Transaction (either by specific reference to the Transaction or by general reference to transactions with the attributes of the Transaction in all relevant respects).

  • Finance and Sale Issues (a) Until the Discharge of Revolving Credit Obligations has occurred, if any Grantor shall be subject to any Insolvency or Liquidation Proceeding and the US Revolving Credit Collateral Agent shall agree to permit the use of “Cash Collateral” (as such term is defined in Section 363(a) of the Bankruptcy Code) other than the identifiable cash proceeds of any Notes Collateral, on which a Lien has been granted to the US Revolving Credit Collateral Agent pursuant to the Revolving Credit Documents or to permit any Grantor to obtain financing, whether from the Revolving Credit Claimholders or any other Person under Section 364 of the Bankruptcy Code or any similar Bankruptcy Law (“DIP Financing”), then the Notes Collateral Agent, on behalf of itself and the Notes Claimholders, agrees that it will raise no objection to or contest such Cash Collateral use or DIP Financing so long as such Cash Collateral use or DIP Financing meet the following requirements: (i) the aggregate principal amount of the DIP Financing plus the aggregate outstanding principal amount of Revolving Credit Obligations plus the aggregate face amount of any letters of credit issued and not reimbursed under the Revolving Credit Agreement does not exceed the sum of the Revolving Credit Cap Amount and the DIP Financing Cap Amount, (ii) the Notes Collateral Agent and the Notes Claimholders retain the right to object to any ancillary agreements or arrangements regarding the Cash Collateral use or the DIP Financing that are materially prejudicial to their interests in the Notes Collateral (other than any Real Estate Assets upon which a Lien has not been perfected), (iii) the terms of the DIP Financing (A) do not compel the applicable Grantor to seek confirmation of a specific plan of reorganization for which all or substantially all of the material terms are set forth in the DIP Financing documentation or a related document and (B) do not expressly require the liquidation of the Collateral prior to a default under the DIP Financing documentation or Cash Collateral order, and (iv) any Lien on the Notes Collateral to secure such DIP Financing is subordinate to the Lien of the Notes Collateral Agent with respect thereto. To the extent the Liens securing the Revolving Credit Obligations are subordinated to or pari passu with such DIP Financing which meets the requirements of clauses (i) through (iv) above, the Notes Collateral Agent will subordinate its Liens in the Revolving Credit Primary Collateral to the Liens securing such DIP Financing (and all Obligations relating thereto) and to any “Carve Out” from the Liens securing such DIP Financing for the benefit of professionals entitled to compensation from any Grantor’s estate provided for in connection with such DIP Financing, and will not request adequate protection or any other relief in connection therewith (except, as expressly agreed by the US Revolving Credit Collateral Agent or to the extent permitted by Section 6.3).
