International Transfers of Customer Personal Data. 11.1 Supplier shall not Process the Customer Personal Data nor permit any Authorised Subprocessor to Process the Customer Personal Data in a country located outside of the European Union (a “Restricted Country”), unless authorised in writing by the Customer in advance. In addition, Supplier shall not Process the Customer Personal Data nor permit any Authorised Subprocessor to Process the Customer Personal Data in a country located outside of the home country of the Customer group entity providing Customer Personal Data, unless authorised in writing by the Customer in advance (and, for clarity, if the Customer group entity home country is outside of the European Union, advance written consent from Customer is also required for Processing outside of the European Union). If Supplier Processes Customer Personal Data or permits any Authorised Subprocessor to Process the Customer Personal Data in a country located outside of the European Union, the parties agree to enter into Annex 3 (Standard Contractual Clauses). If Supplier Processes Customer Personal Data in Switzerland or pertaining to Swiss citizens or residents, the parties agree to enter into Annex 4 (Swiss Model Clauses). If Supplier Processes Customer Personal Data in Germany or pertaining to German citizens or residents, the parties agree to enter into Annex 5 (German Companion Agreement). If Supplier Processes Customer Personal Data in Poland or pertaining to Polish citizens or residents, the parties that Annex 6 (Poland Security) applies. If Supplier Processes Customer Personal Data in Italy or pertaining to Italian citizens or residents, the parties agree that Annex 7 (Italy Security) applies.

Customer agrees that Gruntwork may transfer and process Customer Information to and in the United States and any other country where Gruntwork or its Affiliates or Sub-processors conduct operations. Gruntwork shall ensure that such transfers comply with the requirements of Applicable Data Protection Law.
International Transfers of Customer Personal Data. To the extent that the Processing of Customer Personal Data by Provider takes place in a country or territory outside the EEA, Switzerland or the UK, other than in a country or territory ensuring an adequate level of protection for the rights and freedoms of data subjects in relation to the Processing of personal data as determined by the European Commission, such Processing will be governed by the Standard Contractual Clauses. In the event of a conflict between any terms in the Standard Contractual Clauses, this Data Processing Agreement and the remainder of the Agreement, the Standard Contractual Clauses will prevail.

The International Participant should note that the International Participant’s country of residence may have enacted data privacy laws that are different from the United States.   • Confidentiality/Protection of Customer Information The Company shall keep confidential and shall not divulge to any party, without the Purchaser's prior written consent, the price paid by the Purchaser for the Mortgage Loans, except to the extent that it is reasonable and necessary for the Company to do so in working with legal counsel, auditors, taxing authorities or other governmental agencies.   • Nonsolicitation of Customers You shall not, while employed by Donnelley and for a period of 18 months from the date of Separation from Service with Donnelley for any reason, including your Separation from Service initiated by Donnelley with or without Cause, directly or indirectly, either on your own behalf or on behalf of any other person, firm or entity, solicit or provide services which are the same as or similar to the services Donnelley provided or offered while you were employed by Donnelley to any customer or prospective customer of Donnelley (i) with whom you had direct contact in the course of your employment with Donnelley or about whom you learned confidential information as a result of your employment with Donnelley or (ii) with whom any person over whom you had supervisory authority at any time had direct contact during the course of his or her employment with Donnelley or about whom such person learned confidential information as a result of his or her employment with Donnelley.

  • Transfer of Personal Data The Participant authorizes, agrees and unambiguously consents to the transmission by the Company (or any Subsidiary) of any personal data information related to the Option awarded under this Agreement for legitimate business purposes (including, without limitation, the administration of the Plan).   • Use of Book-Entry System and Depositories The Company on behalf of each Fund hereby authorizes BTC on a continuous and on-going basis, to deposit in the Book-Entry System and any Depositories all Securities eligible for deposit therein and to utilize the Book-Entry System and Depositories to the extent possible in connection with its receipt and delivery of Securities, Collateral, Approved Investments and monies under this Agreement. Where Securities, Collateral (other than Cash Collateral) and Approved Investments eligible for deposit in the Book-Entry System or a Depository are transferred to the Account, BTC shall identify or cause to be identified as belonging to the Fund a quantity of securities in a fungible bulk of securities shown on BTC’s account on the books of the Book-Entry System or the applicable Depository. Securities, Collateral and Approved Investments deposited in the Book-Entry System or a Depository will be commingled in accounts which include assets held by BTC for customers, including but not limited to accounts in which BTC acts in a fiduciary or agency capacity, as well as assets held by or on behalf of other clients or participants of the Book-Entry System or Depository.

  • Personal Data Registry Operator shall (i) notify each ICANN-­‐accredited registrar that is a party to the registry-­‐registrar agreement for the TLD of the purposes for which data about any identified or identifiable natural person (“Personal Data”) submitted to Registry Operator by such registrar is collected and used under this Agreement or otherwise and the intended recipients (or categories of recipients) of such Personal Data, and (ii) require such registrar to obtain the consent of each registrant in the TLD for such collection and use of Personal Data. Registry Operator shall take reasonable steps to protect Personal Data collected from such registrar from loss, misuse, unauthorized disclosure, alteration or destruction. Registry Operator shall not use or authorize the use of Personal Data in a way that is incompatible with the notice provided to registrars.

  • Cybersecurity; Data Protection To the Company’s knowledge, the Company and its subsidiaries’ information technology assets and equipment, computers, systems, networks, hardware, software, websites, applications, and databases (collectively, “IT Systems”) are adequate for, and operate and perform in all material respects as required in connection with the operation of the business of the Company and its subsidiaries as currently conducted, free and clear of all material bugs, errors, defects, Trojan horses, time bombs, malware and other corruptants. The Company and its subsidiaries have implemented and maintained commercially reasonable controls, policies, procedures, and safeguards to maintain and protect their material confidential information and the integrity, continuous operation, redundancy and security of all IT Systems and data (including all personal, personally identifiable, sensitive, confidential or regulated data (collectively, the “Personal Data”)) used in connection with their businesses, and there have been no breaches, violations, outages or unauthorized uses of or accesses to same, except for those that have been remedied without cost or liability or the duty to notify any other person, nor any incidents under internal review or investigations relating to the same, except in each case as would not reasonably be expected to have a Material Adverse Effect. The Company and its subsidiaries are presently in material compliance with all applicable laws or statutes and all judgments, orders, rules and regulations of any court or arbitrator or governmental or regulatory authority, internal policies and contractual obligations relating to the privacy and security of IT Systems and Personal Data and to the protection of such IT Systems and Personal Data from unauthorized use, access, misappropriation or modification.
