Grant Shares. If (i) the Company has consummated an initial public offering (the “IPO”) of the Company’s shares of Class A common stock (“Class A Stock”) and (ii) Consultant has purchased, as promptly as possible after the Effective Date, a small number (determined by Consultant) of ordinary shares of Motorsport Games Limited, a private limited company organized under the laws of England and Wales with company number 12445844 whose registered office is at Silverstone Innovation Centre, Silverstone Park, Silverstone, England, NN12 8GX, the Company will issue to Consultant either at the time pf the IPO or as soon as practicable after the IPO such number of shares of Class A stock that represents in the aggregate 3% of the Company’s issued and outstanding Class A Stock as of the effective date of the IPO (the “Grant Shares”). The Grant Shares will be issued by the Company subject to the applicable compliance with the U.S. federal and state securities laws and, if applicable, the Nasdaq rules (including, without limitation, the Nasdaq shareholders’ approval rules). The Grant Shares will be issued in reliance on the applicable exemption from registration under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws and shall bear the applicable restrictive legend. The grant and issuance of the Grant Shares will be subject to Consultant providing to the Company customary written investor representations in the form attached hereto as Exhibit A.

Grant Shares. If the Executive fails to satisfy such requirements and is not otherwise vested under paragraph (b), the Executive shall forfeit and transfer to one or more persons designated by the Committee, all unvested Grant Shares granted pursuant to this Agreement.
Grant Shares. The Grant Shares shall be issued pursuant to a Restricted Stock Agreement and shall be subject to forfeiture to the Company. One hundred percent of the Grant Shares shall initially be subject to the forfeiture restriction. Thereafter, the Grant shares held by Executive shall be released from the forfeiture restriction as follows: twenty-five percent (25%) of the Grant Shares on the last day of the month in which the one year anniversary of the Commencement Date occurs and an additional 1/48th of the Grant Shares on the last day of each month thereafter until all shares are released from the forfeiture restrictions. During the time that Grant Shares are subject to the forfeiture restrictions, such Grant Shares may not be sold, encumbered or otherwise disposed of by Executive. The Grant Shares shall contain a legend reflecting the forfeiture restrictions and the Company may take such other steps as it deems reasonable to assure compliance with the forfeiture restrictions. Executive shall be entitled to receive and retain all dividends paid on the Grant Shares regardless of the forfeiture restrictions through the date of forfeiture (if any).
Grant Shares. Subject to Part Four of this Agreement, Capital Trust shall issue and grant to Executive, pursuant to the Share Plan, the number of Common Shares on the dates specified below (collectively, the "Grant Shares"), all of which Grant Shares shall be fully vested as of their respective grant dates, notwithstanding anything to the contrary in the Share Plan.   • Option Shares In addition, upon the basis of the warranties and representations and other terms and conditions herein set forth, at the purchase price per share set forth in Section 1(a), the Company hereby grants an option to the Underwriters, acting severally and not jointly, to purchase the Option Shares in proportion to the number of Initial Shares set forth opposite the names of the Underwriters in Schedule I hereto, plus any additional number of Option Shares which such Underwriter may become obligated to purchase pursuant to the provisions of Section 10. If the option is exercised as to all or any portion of the Option Shares, the Company will sell to each Underwriter the proportion of the total number of Option Shares then being purchased which the number of Initial Shares set forth in Schedule I hereto opposite the name of such Underwriter bears to the total number of Initial Shares, and each of the Underwriters, acting severally and not jointly, will purchase that proportion of the total number of Option Shares then being purchased which the number of Initial Shares set forth in Schedule I hereto opposite the name of such Underwriter bears to the total number of Initial Shares, subject in each case to such adjustments among the Underwriters as the Representatives in their sole discretion shall make to eliminate any sales or purchases of fractional shares. The Underwriters may from time to time increase or decrease the public offering price of the Option Shares after the initial public offering to such extent as the Underwriters may determine.

  • Reacquired Shares Any shares of Series A Preferred Stock purchased or otherwise acquired by the Corporation in any manner whatsoever shall be retired and cancelled promptly after the acquisition thereof. All such shares shall upon their cancellation become authorized but unissued shares of Preferred Stock and may be reissued as part of a new series of Preferred Stock subject to the conditions and restrictions on issuance set forth herein, in the Certificate of Incorporation, or in any other Certificate of Designations creating a series of Preferred Stock or any similar stock or as otherwise required by law.

  • Free Shares Free Shares that are not Omnibus Shares (“Non-Omnibus Free Shares”) of a Fund outstanding on any date shall be attributed to the Distributor or a Successor Distributor, as the case may be, in the same proportion that the Non-Omnibus Commission Shares of a Fund outstanding on such date are attributed to each on such date; provided that if the Distributor and its transferees reasonably determines that the transfer agent is able to produce monthly reports that track the Date of Original Issuance for such Non-Omnibus Free Shares, then such Free Shares shall be allocated pursuant to clause 1(a), (b) and (c) above.
