Failure to Meet Development Schedule. In the event that (a) Developer fails to commence construction as specified in Section 2.102.11 (other than because of Permitted Delay), (b) construction ceases for ninety (90) consecutive days (other than because of Permitted Delay), or (c) Developer fails to complete construction on or before the Construction Completion Deadline (other than because of a Permitted Delay), then in such event, Developer shall pay liquidated damages for such delay for each day between the date twelve (12) months after the Construction Commencement Deadline and the date the Project is Completed. The amount of liquidated damages for such delay per day shall be the difference between real estate taxes that would be payable if the Project had been Completed on the date twelve (12) months after the Construction Completion Deadline and the actual real estate taxes that are assessed for the days between the date twelve (12) months after the Construction Completion Deadline and the date the Project is Completed. Developer agrees this provision is a valid and enforceable liquidated damages provision and the City’s Real Estate Assessor’s assessment of the amount owed shall be accepted by Developer as the proper amount.

Failure to Meet Development Schedule. In the event that (a) Developer fails to commence construction as specified in Section 2.9 or (b) construction ceases for ninety (90) consecutive days (other than because of Permitted Delay), except if (y) such cessation is due to the termination of the Project construction contract by the Developer or Contractor and (z) the Developer makes reasonable effort to recommence construction, then such ninety (90) day period will be extended to one hundred twenty (120) days, the City shall be entitled, but not obligated, to terminate this Contract upon thirty (30) days prior written notice to Developer and unless Developer cures such failure or recommences construction, as the case may be, within such thirty

If the Project is to be phased, then each individual Phase should be identified from start through completion of the overall Project and should be individually scheduled and described, including any Owner’s occupancy requirements and showing portions of the Project having occupancy priority. The format of the schedule will have dependencies indicated on a monthly grid identifying milestone dates such as construction start, phase construction, structural top out, dry-in, rough-in completion, metal stud and drywall completion, equipment installation, systems operational, Material Completion and Occupancy Date, final inspection dates, Punchlist, and Final Completion date.
