Effect of Rejection. In the event that the Owner determines that any Materials and Equipment are defective or otherwise unsatisfactory and rejects them after title has passed to the Owner and/or the City, the Owner and/or the Owner’s Representative will Notify the Contractor of the same in writing and title to all such Materials and Equipment shall be deemed to have been transferred back to the Contractor as of the date set forth in such Notice.

Effect of Rejection. If this subscription is rejected, any funds tendered to the Escrow Agent will be returned, without interest, there will be no Offering Closing or other closing with respect to that proposed subscription and the subscription will thereafter terminate without any further obligations or liability being imposed upon the Company or any Company Representative.
