During the Noncompete Period. Executive shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company or any Subsidiary or Division to leave the employ of the Company or such Subsidiary or Division, or in any way interfere with the relationship between the Company or any Subsidiary or Division and any employee thereof, (ii) hire any person who was an employee of the Company or any Subsidiary or Division at any time during the Executive's employment period, or (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company or any Subsidiary or Division to cease doing business with the Company or such Subsidiary or Division, or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company or any Subsidiary or Division.

During the Noncompete Period. Buyer and its affiliates shall not (I) use the "Radius" brand name in connection with the development, manufacture, marketing or sale of any digital video product nor (II) knowingly induce any employee of Seller to leave the employment of Seller in order to provide services to Buyer without Seller's written approval.

In addition, during the Restricted Period, the Director shall not develop any property for use in the Company’s Business on behalf of any person or entity other than the Company, its subsidiaries and affiliates.

  • Employment; Noncompetition; Nondisclosure The Manager has not been notified that any of its executive officers or key employees named in the General Disclosure Package (each, a “Company-Focused Professional”) plans to terminate his or her employment with the Manager or Colony, as the case may be. Neither the Manager nor, to the knowledge of the Manager, any Company-Focused Professional is subject to any noncompete, nondisclosure, confidentiality, employment, consulting or similar agreement that would be violated by the present or proposed business activities of the Company or the Manager as described in the Registration Statement, the General Disclosure Package and the Prospectus.

  • Noncompetition; Nonsolicitation (a) The Executive acknowledges that in the course of his employment with the Company pursuant to this Agreement he will become familiar, and during the course of his employment by the Company or any of its subsidiaries or affiliates or any predecessor thereof prior to the date of this Agreement he has become familiar, with trade secrets and customer lists of and other confidential information concerning the Company and its subsidiaries and affiliates and predecessors thereof and that his services have been and will be of special, unique and extraordinary value to the Company.
