Disposition of Commercialization Related Materials. Except for an uncured material breach by Lxxxx resulting in termination by Licensee under Section 12.2, upon termination (but not expiration) of this Agreement, Licensee will promptly deliver to Lilly in electronic, sortable form (a) a list identifying all wholesalers and other distributors involved in the Commercialization of the Product in the Territory as well as any customer lists (e.g., purchasers) related to the Commercialization of the Product in the Territory and (b) all Promotional Materials, as well as any items bearing the Product trademarks or Product trade dress and/or any trademarks or housemarks otherwise associated with the Product or Lilly; provided that to the extent this Agreement is only terminated with respect to one or more countries, then this Section 13.5 shall only apply with respect to terminated countries.
Disposition of Commercialization Related Materials. Pfizer will promptly deliver to Auxilium in electronic, sortable form (a) a list identifying all wholesalers and other distributors involved in the Commercialization of the Product in the Territory as well as any customer lists (e.g., purchasers) related to the Commercialization of the Product in the Territory, and (b) all Promotional Materials as well as any items bearing the Product Trademark and/or any trademarks or housemarks otherwise associated with the Product or Auxilium.

Licensee will promptly deliver to Immunomedics (in anonymous form to the extent prescribed by applicable data protection regulation) (a) a list identifying all wholesalers and other distributors involved in the Commercialization of the Product in the Territory as well as any customer lists related to the Commercialization of the Product in the Territory, (b) all Promotional and Educational Materials as well as any items bearing the Product Trademark and/or any trademarks or house marks otherwise associated with the Product or Immunomedics and (c) a copy of Licensee’s database containing the names and contact information for Specialists. *** Portion for which confidential treatment requested.
Disposition of Commercialization Related Materials. Upon any termination of this Agreement by BMS under Section 13.4 (Termination for Convenience by BMS) or by Immatics under Section 13.2 (Termination for Breach), with respect to a Terminated Territory, subject to confidentiality obligations imposed on BMS (or any of its Affiliates) and any restrictions under Applicable Law, BMS will promptly deliver to Immatics a list identifying any then-existing material wholesalers and other distributors utilized by BMS for the Commercialization of any Reversion Product in the Field in such Terminated Territory as well as any then-existing customer lists (e.g., purchasers) related to the Commercialization of any Reversion Product in the Field in such Terminated Territory (if any).
Disposition of Commercialization Related Materials. Ono will promptly deliver to Onyx in electronic, sortable form (i) a list identifying all wholesalers and other distributors involved in the Commercialization of Product in the Territory as well as any customer lists (e.g., purchasers) related to the Commercialization of Product in the Territory, (ii) a list of all Third Party manufacturers of Carfilzomib Product, and (iii) all Promotional Materials as well as any items bearing Product Trademark and/or any trademarks or housemarks otherwise associated with Product or Onyx.
Disposition of Commercialization Related Materials. HanX will promptly deliver to Onconova in electronic, sortable form (i) a list identifying all wholesalers and other distributors involved in the Commercialization of the Product in the Territory as well as any customer lists related to the Commercialization of the Product in the Territory and (ii) all promotional materials as well as any items bearing the Product trademark and/or any trademarks or housemarks otherwise associated with the Product or Onconova.
Disposition of Commercialization Related Materials. Upon the termination of this Agreement for any reason with respect to a Terminated Territory, Licensee will promptly deliver to Agenus (a) a list identifying any wholesalers and other distributors involved in the Commercialization of any Reversion Product in such Terminated Territory as well as any customer lists (e.g., purchasers) related to the Commercialization of any Reversion Product in such Terminated Territory (if any) in electronic, sortable form, and (b) except and solely to the extent necessary for Licensee to exercise the Sell-Off Right, all Promotional Materials used by Licensee, its Affiliates or Sublicensees solely to Commercialize any Reversion Product in such Terminated Territory as of the effective date of termination that are in Licensee’s or its Affiliates’ possession.
Disposition of Commercialization Related Materials. Actelion will promptly deliver to Auxilium in electronic, sortable form (a) a list identifying all wholesalers and other distributors involved in the Commercialization of the Finished Product in the Territory as well as any customer lists (e.g., purchasers) related to the Commercialization of the Finished Product in the Territory, and (b) all Promotional Materials as well as any items bearing the Product Trademark and/or any trademarks or housemarks otherwise associated with the Finished Product or Auxilium.
Disposition of Commercialization Related Materials. Asahi will promptly deliver to Auxilium in electronic, sortable form (a) a list identifying all wholesalers and other distributors involved in the Commercialization of the Product in the Territory as well as any customer lists (e.g., purchasers) related to the Commercialization of the Product in the Territory, and (b) all Promotional Materials as well as any items bearing the Product Trademark and/or any trademarks or housemarks of Auxilium otherwise associated with the Product.
