SGI shall have the right to purchase from MPI, [***], all or part of the inventory of the Licensed Product held by MPI for the Terminated Countries as of the effective date of such termination of this Agreement.
HMR shall have the right, at its option, to terminate Myogen's rights hereunder with respect to those countries where a Product has not been commercialized as set forth above (any such countries [*#*]CONFIDENTIAL TREATMENT REQUESTED shall also be referred to as "Terminated Countries"), and the definition of the Territory shall thenceforth exclude such countries.

Notwithstanding the foregoing, if the termination is only effective in certain countries in the Territory, Takeda shall only be required to sell to TBIL the amount of its inventory of the Product that was Manufactured specifically for the Terminated Countries and which would be required to be re-worked (including re-packaged) for use outside of the Terminated Country.

To the extent that any asset described in Section 15.4.3 or 15.4.4 is not assignable by ALJ or its Affiliates, Sublicensees, or Subcontractors or do not relate exclusively to Terminated Products in Terminated Countries, then such asset will not be assigned, and upon the request of Evelo, ALJ will take, or cause its or its Affiliates, Sublicensees, or Subcontractors to take, such steps as may be necessary to allow Evelo to obtain and to enjoy the benefits of such asset, without additional payment therefor.
Takeda shall transfer to TBIL (or its Designee) the then-current Manufacturing processes, as well as any other Takeda Know-How with respect to the Products in the Terminated Countries, solely for TBIL to Develop, Manufacture, Commercialize and otherwise Exploit the Products in the Terminated Countries.
To the extent that any such agreement between Takeda and a Third Party is not assignable to TBIL (or its Designee, as applicable) or is not related solely to the Products in the Terminated Countries, Takeda shall reasonably cooperate with TBIL for TBIL (or its Designee) to enter into a direct agreement with such Third Party for such services and TBIL shall have no responsibility to reimburse Takeda for Third Party Fees.
To the extent permitted by Applicable Law, Takeda shall: (A) provide to TBIL a copy of all Regulatory Materials to the extent related to the Products in the Terminated Countries that are in Takeda’s possession; or (B) to the extent such Regulatory Materials are not in Takeda’s possession, grant TBIL the same right to access and reference such Regulatory Materials as held by Takeda prior to the effective date of such termination.
