Delivery of Accountants’ “Comfort” Letter. The Company shall have requested and caused the Accountants to have furnished to the Manager letters (which may refer to letters previously delivered to the Manager), dated as of such date, in form and substance satisfactory to the Manager, confirming that they are independent accountants within the meaning of the Act and the Exchange Act and the respective applicable rules and regulations adopted by the Commission thereunder and that they have performed a review of any unaudited interim financial information of the Company included or incorporated by reference in the Registration Statement and the Prospectus and provide customary “comfort” as to such review in form and substance satisfactory to the Manager.

Delivery of Accountants’ “Comfort” Letter. The Company shall have requested and caused the Company Auditor (or any successor thereto) to have furnished to the Manager letters (which may refer to letters previously delivered to the Manager), dated as of the date hereof, in form and substance satisfactory to the Manager, confirming that they are independent accountants within the meaning of the Act and the Exchange Act and the respective applicable rules and regulations adopted by the Commission thereunder and that they have performed a review of any unaudited interim financial information of the Company included or incorporated by reference in the Registration Statement and the Prospectus and provide customary “comfort” as to such review in form and substance satisfactory to the Manager, provided that the delivery of this deliverable on the Execution Time shall be waived as long as no instruction to the Manager to sell Shares pursuant to this Agreement has been delivered by the Company or is pending; provided, however, that, if the Company determines to sell Shares when the Company has relied on this waiver and did not provide the deliverable pursuant to this Section 6(d), then the Company shall deliver, or cause to be delivered, the deliverable pursuant to this Section 6(d) prior to any instruction from the Company to the Manager to sell Shares pursuant to this Agreement.

  • Accountant’s Comfort Letter At the time of the execution of this Agreement, the Representatives shall have received from Ernst & Young LLP a letter, dated such date, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

  • Comfort Letter The Agent shall have received the Comfort Letter required to be delivered pursuant to Section 7(n) on or before the date on which such delivery of such Comfort Letter is required pursuant to Section 7(n).
