Sales Notice shall have the meaning ascribed to such term in Section 2(b)(i).

The Sales Notice shall be effective unless and until (i) the Manager declines in writing to accept the terms contained therein for any reason, in its sole discretion, which declination must occur within two (2) Business Days of the receipt of the Sales Notice, (ii) the entire amount of the Shares thereunder have been sold, (iii) the Company suspends or terminates the Sales Notice or (iv) this Agreement has been terminated pursuant to the terms hereof.
