Customer’s Audit Rights a. If European Data Protection Law applies to the processing of Customer Personal Data, Google will allow Customer or an independent auditor appointed by Customer to conduct audits (including inspections) to verify Google’s compliance with its obligations under this Data Processing Amendment in accordance with Section 7.5.3 (Additional Business Terms for Reviews and Audits). Google will contribute to such audits as described in Section 7.4 (Compliance Certifications and SOC Reports) and this Section 7.5 (Reviews and Audits of Compliance).
Customer’s Audit Rights. (a) Google will allow Customer or a third party auditor appointed by Customer to conduct audits (including inspections) to verify Google’s compliance with its obligations under these Data Processing Terms in accordance with Section 7.5.3 (Additional Business Terms for Audits). Google will contribute to such audits as described in Section 7.4 (Security Certification) and this Section 7.5 (Reviews and Audits of Compliance).
Customer’s Audit Rights a. If the European Data Protection Legislation applies to the processing of Customer Personal Data, Upwork will allow Customer or an independent auditor appointed by Customer to conduct audits (including inspections) to verify Upwork’s compliance with its obligations under this DPA in accordance with Section 7.4.2 (Additional Business Terms for Reviews and Audits). Upwork will contribute to such audits as described in this Section 7.4 (Reviews and Audits of Compliance).
Customer’s Audit Rights. If the European Data Protection Legislation applies to the processing of Customer Personal Data, IT Farm will allow Customer or an independent auditor appointed by Customer to conduct audits (including inspections) to verify IT Farm’s compliance with its obligations under these Terms in accordance with Section 6.5.3 (Additional Business Terms for Reviews and Audits). IT Farm will contribute to such audits as described in Section 6.4 (Security Certifications and Reports) and this Section 6.5 (Reviews and Audits of Compliance). Customer may also conduct an audit to verify IT Farm’s compliance with its obligations under these Terms by reviewing the Security Documentation (which reflects the outcome of audits conducted by IT Farm’s Third Party Auditor).
Customer’s Audit Rights. (a) If the European Data Protection Legislation applies to the processing of Customer Personal Data, Processor will allow Customer or an independent auditor appointed by Customer to conduct audits (including inspections) to verify Processor’s compliance with its obligations under this Data Processing Agreement. Processor will contribute to such audits as described in Section 7.4 (Audits of Compliance).
Customer’s Audit Rights. 6.4.2.1. If the European Data Protection Legislation applies to the processing of Customer Personal Data, AIS will allow Customer or an independent auditor appointed by Customer to conduct audits (including inspections) to verify AIS’s compliance with its obligations under this Data Processing Agreement in accordance with Section 6.4.3 (Additional Business Terms for Reviews and Audits). AIS will contribute to such audits as described in this Section 0 (Reviews and Audits of Compliance).
Customer’s Audit Rights. ▪ (a) If the European Data Protection Legislation applies to the processing of Customer Personal Data, Google will allow Customer or an independent auditor appointed by Customer to conduct audits (including inspections) to verify Google’s compliance with its obligations under this Data Processing Amendment in accordance with Section 7.5.3 (Additional Business Terms for Reviews and Audits). Google will contribute to such audits as described in Section 7.4 (Security Certifications and Reports) and this Section 7.5 (Reviews and Audits of Compliance). ▪ (b) If Customer has entered into Model Contract Clauses as described in Section 10.2 (Transfers of Data Out of the EEA), Google will, without prejudice to any audit rights of a supervisory authority under such Model Contract Clauses, allow Customer or an independent auditor appointed by Customer to conduct audits as described in the Model Contract Clauses in accordance with Section 7.5.3 (Additional Business Terms for Reviews and Audits). ▪ (c) Customer may also conduct an audit to verify Google’s compliance with its obligations under this Data Processing Amendment by reviewing the Security Documentation (which reflects the outcome of audits conducted by Google’s Third Party Auditor).
Customer’s Audit Rights. (a) If the European Data Protection Legislation applies to the processing of Customer Personal Data, IRIS Connect will allow Customer or an independent auditor appointed by Customer to conduct audits (including inspections) to verify IRIS Connect’s compliance with its obligations under this Data Processing Agreement in accordance with Section 15.3 (Additional Business Terms for Reviews and Audits). IRIS Connect will contribute to such audits as described in Section 13.4 (Security Certifications and Reports) and this Section 15 (Reviews and Audits of Compliance).
Customer’s Audit Rights a. If the European Data Protection Legislation applies to the processing of Customer Personal Data, Enonic will allow Customer or an independent auditor appointed by Customer to conduct audits (including inspections) to verify Enonic’s compliance with its obligations under these Terms in accordance with Section 7.5.3 (Additional Business Terms for Reviews and Audits). Enonic will contribute to such audits as described in Section 7.4 (Security Certifications and Reports) and this Section 7.5 (Reviews and Audits of Compliance).
Customer’s Audit Rights a Customer shall have the right, reasonably exercised (1) to observe and verify SPMT’s performance of its services hereunder, and (2) to have ingress and egress to, from and within the Terminals to the extent required for the purposes of this Agreement and (3) to review and audit all of SPMT’s records related to the performance of this Agreement and make copies thereof, at reasonable times and at Customer’s expense. None of these rights shall be exercised by Customer in any way which will materially interfere with or diminish SPMT’s control over or its operation of the Terminals and Customer shall be subject to reasonable rules and regulations promulgated by SPMT. b SPMT will require any parties entering the Terminals on behalf of Customer to sign a Terminal Access Agreement, the form of which is attached hereto as Attachment B, and provide certificates of insurance reflecting coverage required by SPMT. Customer shall advise such parties to utilize only those portions of the Terminals designated by SPMT to be used for the purposes described herein and to do so only for the period of time required for expeditious completion of such purposes.
