Critical Illness Insurance. The Employer shall make available, to employees who are eligible for extended health care benefits, the option of Critical Illness Insurance. Premiums for this insurance shall be 100% paid by individual employees who elect to access such insurance. The Employer shall provide information to all eligible employees about the coverage, availability and cost for such insurance and administer payment of premiums through voluntary payroll deductions. It is understood that the insurer may require a minimum of five (5) participating employees to make this option available.

Neither of the Transaction Entities has any reason to believe that it or any of their respective subsidiaries will not be able to (A) renew, if desired, its existing insurance coverage as and when such policies expire or (B) obtain comparable coverage from similar institutions as may be necessary or appropriate to conduct its business as now conducted and at a cost that would not reasonably be expected to, singly or in the aggregate, result in a Material Adverse Effect.
