Creditworthiness of Buyer. On the Closing, Buyer shall meet the creditworthiness criteria set forth in Section 9.1 of the Transition Agreement, provided, however, if Buyer does not meet such criteria, this Section 7.14 shall be satisfied if Buyer has a net worth of $100 million at the Closing and maintains the net worth of $100 million for two (2) years after the Closing. To the extent the Buyer's net worth falls below $100 million during such two (2) year period, Buyer shall provide a guarantee from a creditworthy entity or an irrevocable letter of credit, limited in each such instance to the amount by which $100 million exceeds Buyer's net worth. Such guarantee or letter of credit shall terminate at the end of such two year period.

Creditworthiness of Buyer. 5.1 Prior to commencement of deliveries, or during the term of this Agreement if Buyer has failed to make timely payment of undisputed amounts on more than one occasion, Seller may require Buyer to supply Seller with credit information including, but not limited to, bank references, financial statements and names of persons with whom Seller may make reasonable inquiry into Buyer's creditworthiness and obtain adequate assurance of Buyer's solvency and ability to perform.
Creditworthiness of Buyer. If at any time during the Term Buyer’s rating on its long term debt or Buyer’s corporate credit rating is below investment grade (“BBB-“ as defined by Standard & Poor’s or “Baa3” as defined by Mxxxx’x, or the equivalent rating as defined by other nationally recognized Public rating agencies) or Buyer does not have publicly rated senior unsecured long term debt, then within ten (10) Business Days of such event Buyer shall provide Seller with Adequate Assurances. In addition, in the event Adequate Assurances are provided, such Adequate Assurances must be in amount sufficient to cover [*]. Until the Adequate Assurances are received, Seller shall only be obligated to deliver Coal to Buyer hereunder upon receipt of full payment for each Coal delivery at least three (3) Business Days in advance of such delivery. The failure by Buyer to provide Adequate Assurances within thirty (30) days shall constitute an Event of Default by Buyer.

  • Creditworthiness Seller, in order to satisfy itself of the ability of the Buyer to meet its obligations under the contract, may conduct periodic reasonable credit reviews in accordance with standard commercial practices. Xxxxx agrees to assist in these reviews by providing financial information and at the request of the Seller, will maintain such credit support or surety including, but not limited to, an unconditional and irrevocable letter of credit to provide adequate security for protection against the risk of nonpayment.

  • Financial Condition of the Borrower The Loans may be made to the Borrower without notice to or authorization from any Guarantor regardless of the financial or other condition of the Borrower at the time of such grant. Each Guarantor has adequate means to obtain information from the Borrower on a continuing basis concerning the financial condition of the Borrower and its ability to perform its obligations under the Loan Documents, and each Guarantor assumes the responsibility for being and keeping informed of the financial condition of the Borrower and of all circumstances bearing upon the risk of nonpayment of the Guaranteed Obligations.

  • Condition of the Business (a) Notwithstanding anything contained in this Agreement to the contrary, Purchaser acknowledges and agrees that Seller is not making any representations or warranties whatsoever, express or implied, beyond those expressly given by Seller in Article V hereof (as modified by the Seller Schedules as supplemented or amended), and Purchaser acknowledges and agrees that, except for the representations and warranties contained therein, the Purchased Assets and the Business are being transferred on a “where is” and, as to condition, “as is” basis. Any claims Purchaser may have for breach of representation or warranty shall be based solely on the representations and warranties of Seller set forth in Article V hereof (as modified by the Seller Schedules as supplemented or amended). Purchaser further represents that neither Seller nor any of its Affiliates nor any other Person has made any representation or warranty, express or implied, regarding Seller, the Purchased Assets, the Business or the transactions contemplated by this Agreement or as to the accuracy or completeness of any information not expressly set forth in this Agreement and neither Purchaser nor any of its Affiliates has relied on any such express or implied representation or warranty. Purchaser further agrees that none of Seller, any of its Affiliates or any other Person will have or be subject to any liability to Purchaser or any other Person resulting from the distribution to Purchaser or its representatives or Purchaser’s use of, any such information, including any confidential memoranda distributed on behalf of Seller relating to the Business or other publications or data room information provided to Purchaser or its representatives, or any other document or information in any form provided to Purchaser or its representatives in connection with the sale of the Business and the transactions contemplated hereby. Purchaser acknowledges that it has conducted to its satisfaction, its own independent investigation of the Business and, in making the determination to proceed with the transactions contemplated by this Agreement, Purchaser has relied on the results of its own independent investigation.

  • Financial Condition of Company Any Credit Extension may be made to Company or continued from time to time, and any Hedge Agreements may be entered into from time to time, in each case without notice to or authorization from any Guarantor regardless of the financial or other condition of Company at the time of any such grant or continuation or at the time such Hedge Agreement is entered into, as the case may be. No Beneficiary shall have any obligation to disclose or discuss with any Guarantor its assessment, or any Guarantor's assessment, of the financial condition of Company. Each Guarantor has adequate means to obtain information from Company on a continuing basis concerning the financial condition of Company and its ability to perform its obligations under the Credit Documents and the Hedge Agreements, and each Guarantor assumes the responsibility for being and keeping informed of the financial condition of Company and of all circumstances bearing upon the risk of nonpayment of the Guaranteed Obligations. Each Guarantor hereby waives and relinquishes any duty on the part of any Beneficiary to disclose any matter, fact or thing relating to the business, operations or conditions of Company now known or hereafter known by any Beneficiary.

(a) The Recipient shall maintain or cause to be maintained a financial management system, including records and accounts, and prepare financial statements in a format acceptable to the Bank, adequate to reflect the operations, resources and expenditures in respect of the Project and each Sub-project (including its cost and the benefits to be derived from it).

  • Management and Operations of Business Except as otherwise expressly provided in this Agreement, all powers to control and manage the business and affairs of the Partnership shall be vested exclusively in the General Partner; the Limited Partner shall not have any power to control or manage the Partnership.
