Examples of Condition of the Business in a sentence
References in Sections 3.1 through 3.30 and elsewhere in this Agreement to (i) "Seller's Knowledge" shall refer to the facts and circumstances that the Company or any of the Sellers knew or should have known after appropriate inquiry; (ii) "Person" shall mean any individual, corporation, partnership, proprietorship or other entity of any kind; and (iii) "Condition of the Business" shall mean the assets, financial condition, results and operations of the Business.
Except as disclosed on SCHEDULE 3.6 or as contemplated or permitted by this Agreement, since December 31, 1999 there has not been any event or development which has or will likely give rise to a material adverse change in the Condition of the Business.
The Condition of the Business as of the date hereof is at least as good as the financial condition reflected in the Financial Statements.
