Counterparts and Effectiveness. This Agreement may be executed in several counterparts, which shall be treated as originals for all purposes, and all so executed shall constitute one agreement, binding on all of the parties hereto, notwithstanding that all the parties are not signatory to the original or the same counterpart. Any such counterpart shall be admissible into evidence as an original hereof against each Person who executed it. The execution of this Agreement and delivery thereof by facsimile shall be sufficient for all purposes, and shall be binding upon any party who so executes.

This Pledge Agreement shall become effective when executed counterparts have been delivered to the Collateral Agent, and thereafter shall be binding upon the Pledgor and the Collateral Agent, and shall inure to the benefit of the Pledgor, the Collateral Agent and the other Secured Parties, except that the Pledgor shall not have the right to assign or otherwise transfer any of its rights or obligations hereunder or any interest herein or in the Pledged Assets (and any such assignment or transfer shall be null and void) except as expressly provided in this Pledge Agreement and the Credit Agreement.
