Continuing Covenant. The following shall be added to the Original Redevelopment Agreement as the last sentence of Section 3.7(e): “In addition to the foregoing, the Authority covenants and agrees to add the following language to any amendment, modification, extension, or renewal of any Existing Sports Complex Agreements and/or New Sports Complex Agreements entered into from and after the date hereof except those New Sports Complex Agreements relating to naming rights to the Arena or existing advertising inventory at the Sports Complex: “Notwithstanding anything to the contrary set forth in this [name of contract, license, agreement etc.] the rights granted to the [contracting party] shall not extend to any portion of the Meadowlands Sports Complex located east of New Jersey Route 120 [other than as expressly permitted under the Original Redevelopment Agreement with respect to the interior space of the Arena].”
Continuing Covenant. The Borrower covenants and agrees that it will duly perform and observe each and all of its covenants and agreements herein set forth.
Continuing Covenant. Buyer shall install and maintain in good condition and repair an onsite memorial reasonably visible to the persons using the Property in honor of Xxx Xxxxxxx. This covenant shall survive Closing and shall run with the land and be included in the Deed.
Continuing Covenant. PBC covenants that it will retain in its records production and excise tax payment documentation for the Audit Period for a period of three years after the date of this Agreement.
Continuing Covenant. First Collateral shall execute and ------------------- deliver, in form reasonably acceptable to Buyer, such statements, instruments, certifications, notices, documents, or other papers, and take such other actions requested by Buyer, as may be necessary or appropriate to establish, preserve, maintain or otherwise protect Buyer's ownership interest in the Mortgage Loans and/or to effectuate the purposes of this Amendment.
Continuing Covenant. Manager shall refer questions or requests from tenants on the Property regarding the Property to Manager's replacement. Upon any termination of this Agreement pursuant to this Section 9, the obligations of the parties hereto (except those specified as surviving) shall cease as of the date specified in the notice of termination, except that Manager shall comply with the applicable provisions hereof and shall be entitled to receive any and all compensation that may be due Manager hereunder at the time of such termination.

The Company and AFC covenant and agree that if, and to the extent that, any security interest with respect to equity interests in the Company’s PRC Subsidiaries (as defined below), or any additional subsidiaries of the Company or of AFC, currently existing or in the future, is granted by the Company or AFC in favor of the holders of the 1% Notes, then the Company and AFC shall grant a security interest in favor of the holders of the Amended and Restated Notes to the same relative extent as the interests granted by the Share Pledge Agreement referred to herein, pursuant to an applicable share pledge agreement. For purposes of this Agreement, “PRC Subsidiaries” shall mean LangFang Feihe Dairy Company Limited, GanHan Feihe Diary Company Limited, Shanxi Feihesantai Biotechnology Scientific and Commercial Co., Limited, Heilongjiang Feihe Dairy Co., Limited, XxxXxxx Xxxxx Dairy Co., Limited, and Beijing Feihe Biotechnology Scientific and Commercial Co., Limited.

Continuing Covenant. IDB covenants and agrees that, except with the prior written consent of Shire, until all amounts due or to become due under this Agreement have been paid in full to Shire it will duly perform and observe each and all of its covenants and agreements herein set forth.
