The Company’s Annual Report for any year shall consist of the Company’s Annual Report on Form 10-K for such year filed under the 1934 Act as provided in Section 3 (or any successor form adopted by the SEC) which reports as provided in Section 3 may be provided through a notice cross referencing the filed report as described in Section 3. In the event the Company no longer files annual reports under Section 13 or 15 of the 1934 Act, the Company’s Annual Report shall consist of a copy of its audited financial statements, prepared in accordance with United States generally accepted accounting principles, meeting the requirements of Regulation S-X under the Securities Act of 1933, as amended.
