Consultant is an Independent Consultant. The parties intend that an independent Consultant relationship will be created by this Agreement. No agent, employee or representative of the Consultant shall be deemed to be an agent, employee or representative of the City for any purpose. Consultant shall be solely responsible for all acts of its agents, employees, representatives and sub Consultants during the performance of this Agreement.

Consultant is an Independent Consultant. Neither Consultant nor any of Consultant’s officers, employees, agents, or Subconsultants, if any, is an employee of CivicSD by virtue of this Agreement or performance of any work under this Agreement.
Consultant is an Independent Consultant. Consultant shall be an independent Consultant for all purposes and shall be entitled to no compensation other than the compensation provided for under this Contract. While District reserves the right to set the schedule and evaluate the quality of the completed work, District cannot and will not control the means and manner of Consultant's performance. Consultant is responsible for all federal and state taxes applicable to compensation and payment paid to Consultant under the Contract and will not have any amounts withheld by District to cover Consultant's tax obligations. Consultant is an Independent Consultant. As an independent Consultant, Consultant is solely responsible for paying all federal, state and local income tax and self-employment taxes in respect to the Consultant’s Fee paid by the Company. Consultant will indemnify Company as to any obligations that may arise relating to taxes, fines and penalties due any government agency with respect to the Consultant’s Fee. Consultant will provide the Company with a completed IRS Form W-9 with its first invoice.
