Fringe Benefit Plans definition

Fringe Benefit Plans has the meaning given in Section 9.13(c) below.

Fringe Benefit Plans when immediately preceded by "Millipore," means the Millipore employee assistance program, educational assistance program, leave of absence program and other fringe benefit plans, programs and arrangements, offered from time to time under the personnel policies and practices of Millipore and sponsored and maintained by Millipore (as set forth in Article VII and Schedule 7.1). When immediately preceded by "Mykrolis," "Fringe Benefit Plans" means the fringe benefit plans, programs and arrangements to be established by Mykrolis pursuant to Article VII.

Fringe Benefit Plans means (i) any fringe benefit plan under Code Sections 125, 127, 129, 132, or 137 and (ii) any bonus, commission, profit sharing, savings, provident funds, education funds, pension funds, manager insurance polices, deferred compensation, incentive compensation, restricted stock, stock option, stock purchase, phantom stock, stock appreciation right, restricted stock unit, other stock-based incentive, supplemental retirement, salary continuation, severance, termination, sabbatical, employee relocation, employment-related change in control benefit or any other fringe benefit plan, program, agreement or arrangement which is not within the meaning of a Pension Plan or Welfare Plan, in each case which is maintained, sponsored or contributed to by the Company or any ERISA Affiliate or under which the Company or any ERISA Affiliate has any Liability.

Examples of Fringe Benefit Plans in a sentence

• Participation in group life, medical, pension, profit sharing and other employee benefit plans (collectively hereinafter referred to as "Fringe Benefit Plans"), and other provisions of the Employee's employment not herein specifically provided for shall be consistent with that provided to senior executives of the Company, and thereafter his benefits shall be consistent with those provided to the Company's senior executives.

• Effective as of the Effective Time, PayPal shall or shall cause the applicable member of the PayPal Group to adopt the PayPal Fringe Benefit Plans, which through December 31, 2015 shall have terms that are substantially similar in the aggregate as of immediately prior to the Effective Time as those of the eBay Fringe Benefit Plans.

Fringe Benefit Plans means the fringe benefit plans, programs and arrangements to be established by Mykrolis pursuant to Article VII.
