Compliance with Electrical Service Requirements. Seller shall, at its sole expense, operate and maintain the Facility (i) in accordance with Prudent Utility Practices, the requirements of this Agreement, Buyer’s interconnection requirements, and all applicable Requirements of Law, and (ii) in a manner that is reasonably likely to maximize the output of Energy and Environmental Attributes from the Facility and result in a useful life for the Facility of not less than the Agreement Term.

Compliance with Electrical Service Requirements. Seller shall, at its sole cost and expense, operate and maintain the Facility (i) in accordance with Prudent Industry Practices, the Requirements of Law, this Agreement, and applicable manufacturer’s specifications for the solar panels, batteries and other major components of the Facility, and (ii) with due regard for the safety, security, and reliability of the interconnection facilities and the Transmission System. Subject to Section 14.5, Seller shall reasonably promptly repair and/or replace, at its sole cost and expense, and consistent with Prudent Industry Practices, any component of the Facility that has failed or is destroyed or that is otherwise not operating in a safe manner.
Compliance with Electrical Service Requirements. Seller shall, at its sole expense, operate and maintain the Facility (i) in accordance with the Requirements, and (ii) in a manner that is reasonably likely to maximize the output of Energy from the Facility and result in a useful life for the Facility of not less than twenty (20) years. Notwithstanding the foregoing, Seller shall have no obligation to achieve any amount of output from the Facility other than the amount guaranteed as Guaranteed Generation.
Compliance with Electrical Service Requirements. Seller shall, at its sole expense, operate and maintain, or cause a Qualified Operator to operate and maintain, the Facility (a) in accordance with Prudent Utility Practices, the requirements of this Agreement, all applicable Requirements of Law and the requirements of applicable manufacturers’ and operators’ specifications, using commercially reasonable efforts to comply with any published recommendations of the manufacturers and suppliers of the major components of the Facility, (b) with due regard for the safety, security and reliability of the interconnection facilities and the Transmission System, and (c) in a manner that is reasonably likely to maximize the output of the Facility throughout the Facility’s useful life and result in a useful life for the Facility through the end of the Delivery Term.

Seller shall comply with standard operating procedures such that the Facility has on-site or on-call operations management twenty-four (24) hours per day.

Compliance with Electrical Service Requirements. Seller shall, at its sole expense, operate and maintain the Facility: (i) in accordance with Prudent Utility Practices, the requirements of this Agreement, all applicable Requirements of Law, the requirements of applicable manufacturer’s and operator’s specifications and, using commercially reasonable efforts to comply with any published recommendations of the manufacturers and suppliers of the wind turbines and other major components of the Facility; (ii) with due regard for the safety, security and reliability of the interconnection facilities, Transmission Line and Transmission System and in accordance with the Buyer’s system protection design requirements, attached hereto as Appendix P, and (iii) in a manner that is reasonably likely to maximize the output of Energy from the Facility and result in a useful life for the Facility of not less than twenty (20) years.

  • Compliance with Requirements Any investment program furnished, and any activities performed, by the Manager or by a Sub-Adviser under this Section shall at all times conform to, and be in accordance with, any requirements imposed by: (1) the Act and any rules or regulations in force thereunder; (2) any other applicable laws, rules and regulations; (3) the Declaration of Trust and By-Laws of the Fund as amended from time to time; (4) any policies and determinations of the Board of Trustees of the Fund; and (5) the fundamental policies of the Fund, as reflected in its Registration Statement under the Act or as amended by the shareholders of the Fund.
