Before the COUNTY will issue a notice to proceed with the Services, CONTRACTOR and any subcontractors must acquire, at their expense, a business license from County in accordance with MCC 6.0. CONTRACTOR represents and warrants to COUNTY that CONTRACTOR and its employees, agents, and any subcontractors have all licenses, permits, qualifications, and approvals of whatsoever nature that are legally required to practice their respective professions.

Licensee has obtained all approvals, authorizations, consents, permits and orders of all governmental authorities required by the nature of its business to permit the continued lawful operation of its business as presently conducted, which, if not held by Licensee, would have a material adverse effect on Licensee. There is no action pending or, to the best knowledge of Licensee, threatened, by any governmental authority seeking to revoke, cancel, modify, or deny any such licenses and permits or to deny any applications made to obtain, renew, or modify any such licenses and permits.
COMPLIANCE WITH LICENSING REQUIREMENTS. Except as specified in Schedule 6.2 hereof, the Facility has been operated in substantial compliance with the applicable laws, rules, requirements, and regulations of the State of Texas and of the federal government for licensing and certification of the Facility. Except as set forth on Schedule 6.2 hereof, all requirements or recommendations of all applicable licensing or certification authorities regarding the Facility have been or at the Closing shall have been fully complied with. As of the Closing, all material State licenses, permits and Medicare and Medicaid billing agreements and certification necessary to operate the Facility and to obtain payment shall have been obtained by APS, shall be in full force and effect, and shall not be the subject of any revocation or termination action by the issuing agencies.

Seller has all approvals, authorizations, consents, permits, licenses and orders of all governmental agencies, whether federal, state or local, required by the nature of the Business to permit the continued operation of the Business as presently conducted (the "Permits"). Seller has fulfilled and performed its obligations under each of the Permits.
