Compliance with Applicable Law; Permits and Licenses. Provider shall ---------------------------------------------------- be bound by and comply with the provisions of all applicable laws, rules and regulations of the state board of pharmacy and other governmental bodies having jurisdiction over Provider, including non- resident pharmacy requirements. Where required by a Sponsor that is a health maintenance organization, this Agreement shall be subject to the Federal Health Maintenance Organization Act, 42 U.S.C. 300 et. seq., or any successor statutes and the rules and regulations thereunder, and to the comparable laws and regulations of any applicable state, which laws, rules and regulations shall take precedence over this Agreement to the extent of any inconsistency. Provider shall maintain at all times all required federal, state and local licenses, non-resident pharmacy registrations and licenses, certificates and permits that are necessary to allow Provider to dispense Covered Medications to Members. Provider shall notify ESI in writing immediately in the event of any suspension, revocation, restriction or limitation on any such license, registration, certificate or permit.

Compliance with Applicable Law; Permits and Licenses. Provider shall, and shall cause all Pharmacies to, be bound by and comply with the provisions of all applicable laws, rules and regulations of the state board of pharmacy and other governmental bodies having jurisdiction over Pharmacies and state and Federal privacy and security regulations, including without limitation, those set out in 42 C.F.R.§403.812, and all license and permit requirements that are required to dispense Covered Medications to Members.
Compliance with Applicable Law; Permits and Licenses. (a) Neither the Company nor any of its Subsidiaries (i) is in any material respect in conflict with, or in default or violation in any material respect of, or (ii) has since December 31, 1998 been charged by any Governmental Entity with a violation of: any material law, rule, regulation, order, judgment or decree applicable to the Company or any of its Subsidiaries or by which its or any of their respective properties is bound or affected, including state usury, consumer lending and insurance laws, the Truth in Lending Act, the Real Estate Settlement Procedures Act, the Consumer Credit Protection Act, the Equal Credit Opportunity Act, the Fair Credit Reporting Act, the Homeowners Ownership and Equity Protection Act, the Fair Debt Collection Practices Act and other federal, state, local and foreign laws regulating real estate brokers or agents, real estate brokerage referral services or exchanges, mortgage brokers or agents, mortgage bankers, lending, servicing loans or the selling of credit or other insurance.
Compliance with Applicable Law; Permits and Licenses. (a) Neither the Company nor any of its Subsidiaries is in conflict with, is in default or violation of, or has since December 31, 2001 been investigated for, or charged by any Governmental Entity with, a violation of any material law, rule, regulation, order, judgment or decree applicable to the Company or any of its Subsidiaries or by which its or any of their respective properties is bound or affected. In furtherance and not in limitation of the foregoing, neither the Company nor any of its Subsidiaries has, directly or indirectly, paid or delivered any fee, commission or other sum of money or item of property, however characterized, to any government official or other governmental party, in the United States or any other country, which is in any manner related to the business or operations of such entities and which is or was illegal under any applicable law (including, without limitation, the U.S. Foreign Corrupt Practices Act and the rules and regulations promulgated thereunder).

  • Compliance with Applicable Law; Permits (a) FSIC and each of its Consolidated Subsidiaries is in compliance, and has been operated in compliance, in all material respects, with all applicable Laws, including, if and to the extent applicable, the Investment Company Act, the Securities Act and the Exchange Act other than as would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect with respect to FSIC. FSIC has not received any written or, to FSIC’s knowledge, oral notification from a Governmental Entity of any material non-compliance with any applicable Laws, which non-compliance would, individually or in the aggregate, reasonably be expected to be material to FSIC and its Consolidated Subsidiaries, taken as a whole. FSIC has operated in compliance with all listing standards of the NYSE since FSIC Common Stock began trading on the NYSE on April 16, 2014 other than as would not, individually or in the aggregate, reasonably be expected to be material to FSIC and its Consolidated Subsidiaries, taken as a whole. FSIC is not subject to any “stop order” and is, and was, fully qualified to sell shares of FSIC Common Stock in each jurisdiction in which such shares were registered and sold, other than as would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect with respect to FSIC.

Notwithstanding the foregoing, this Section 5.1(j) shall not apply with respect to Taxes, which shall be covered exclusively by Section 5.1(n) or Environmental Laws, which shall be covered exclusively by Section 5.1(m).
