Company Instruction. In the event that any DTC Participant Escrow CUSIP Holder does not provide the letter of confirmation required pursuant to Section 2.3(c)(i), the Company will instruct the SPAR Rights Agent in writing with respect to the number of Escrow CUSIPs (Common Stock) and Escrow CUSIPs (Warrants), if any, which will be deemed to be held by such DTC Participant Escrow CUSIP Holder for purposes of the Distribution, subject in all cases to Section 2.4 hereof.

Company Instruction. The Company agrees to instruct Pxxxx Xxxxx, Pxxxx Xxxxxxxx, Bxxxx Xxxxxxxx and Mxxx Xxxxxxxxx not to make any statement to any individual not employed by ArQule that is professionally or personally disparaging about, or adverse to, your interests. You understand and agree that the Company’s obligation hereunder is to provide such instructions only, and that a failure by any instructed individual to follow such instructions shall not release you from any of your covenants, including the release set forth in Section 8 above.
Company Instruction. The Company agrees to instruct its Board members and its executives (at the Vice President level and above) to not make any oral or written statements (including on any social media or other similar platform) that are professionally or personally disparaging about you, your performance or reputation, or adverse to, your interests, and that such individuals will be instructed not to engage in any conduct which could reasonably be expected to harm professionally or personally your reputation. You understand and agree that the Company’s sole obligation hereunder is to provide such instructions, and it is not responsible nor shall it be liable in the event any instructed individual violates Exhibit 10.18 such instruction. You further understand that nothing herein shall prevent the Company from making statements that it deems necessary in the interests of the business.
Company Instruction. Company Employees shall assist and direct Customers and prospective Customers upon request. Additionally, Company Employees shall abide by all Authority Rules and Regulations, Policies, Standard Procedures, and Operating Directives, as presently constituted or as later established or amended, which are incorporated by reference herein.

  • Proper Instructions and Special Instructions “Proper Instructions,” which may also be standing instructions, as such term is used throughout this Agreement shall mean instructions received by the Custodian from a Fund, a Fund’s duly authorized investment manager or investment adviser, or a person or entity duly authorized by either of them. Such instructions may be in writing signed by the authorized person or persons or may be in a tested communication or in a communication utilizing access codes effected between electro-mechanical or electronic devices or may be by such other means and utilizing such intermediary systems and utilities as may be agreed from time to time by the Custodian and the person(s) or entity giving such instruction, provided that the Fund has followed any security procedures agreed to from time to time by the applicable Fund and the Custodian including, but not limited to, the security procedures selected by the Fund via the form of Funds Transfer Addendum hereto, the terms of which are hereby agreed to. Oral instructions will be considered Proper Instructions if the Custodian reasonably believes them to have been given by a person authorized to provide such instructions with respect to the transaction involved; the Fund shall cause all oral instructions to be confirmed in writing. For purposes of this Section, Proper Instructions shall include instructions received by the Custodian pursuant to any multi-party agreement which requires a segregated asset account in accordance with Section 2.9 hereof.

  • Stop Transfer Instructions In order to enforce the foregoing covenants, the Company may impose stop-transfer instructions with respect to the securities of each Holder (and the securities of every other person subject to the restrictions in Section 1.14(a)).

  • Transfer Instructions All transfers into and out of the Trust Unallocated Account shall be made upon receipt of, and in accordance with, instructions given by the Trustee to the Custodian. Such instructions shall be given by authenticated SWIFT message or, if for any reason the SWIFT messaging system is not operational, by such other temporary means as the Trustee and the Custodian may agree from time to time.   • Acting on Instructions; Unclear Instructions (a) Bank is authorized to act under this Agreement (or to refrain from taking action) in accordance with the instructions received by Bank, via telephone, telex, facsimile transmission, or other teleprocess or electronic instruction or trade information system acceptable to Bank ("Instructions").
