In connection with the transfer of the Servicing Rights from Seller to Purchaser pursuant to this Agreement, Seller and Purchaser shall act in accordance with the Transfer Instructions, Agency Guidelines, and CFPB Bulletin 2014-01, dated August 19, 2014.
The Seller shall transfer the actual servicing of the related Mortgage Loans to the Purchaser on the applicable Servicing Transfer Date in accordance with the Transfer Instructions in all material respects.
All such notices sent to hazard, flood, earthquake, private mortgage guarantee and other insurers shall comply with the requirements of the applicable master policies and shall instruct such insurers to change the mortgagee clause to “Nationstar Mortgage, its successors and assigns” as per the Transfer Instructions or as otherwise required under Applicable Requirements.
If there is a conflict with regard to the Agreement and the Transfer Instructions, the Agreement terms shall prevail.
The Mortgage Files (including, without limitation, the Mortgage Loan Documents) delivered to the applicable Document Custodian pursuant to this Agreement and the Servicing Transfer Instructions will include all documents necessary to final certify and/or recertify the Pools, as the case may be, in accordance with the Agency Guidelines.
