Chip Designs. 3.1.1 The Parties agree to commence joint development activities for 300mm Wafer 45nm Bulk CMOS semiconductor manufacturing process technologies based on "SF" Bulk CMOS technology roadmap for the base process, the high performance process, and the low power process that are generally competitive in complexity, schedule, and performance as set forth as "Strategic Technology Objectives" in Exhibit A2 (hereinafter referred to as "Strategic Goals"), with the goal of agreeing on such Strategic Goals by *****. Such joint development activities shall include feasibility studies and other analyses as mutually agreed by the Management Committee to further refine the Strategic Goals. If the Parties do not agree on such Strategic Goals (as well as a development schedule) by *****, pursuant to this Section 3.1.1, IFX and/or Chartered shall have the right to develop 45nm Bulk CMOS with a Joint Development Partner pursuant to Section 7.10. For the avoidance of doubt, all of the activities under this Agreement conducted prior to ***** that are directed to 45nm Bulk CMOS shall be treated as part of the "300mm Wafer 65nm Bulk CMOS Process Development Project," and subject to all of the rights and restrictions applicable to such 65nm Bulk CMOS Process Development Project, in the event the Parties do not continue such 45nm Bulk CMOS project after *****; provided, however, that nothing in this Agreement shall be interpreted as requiring such agreement, and a lack of such agreement shall not be considered a breach. Further, for the avoidance of doubt, nothing in this Agreement shall be interpreted as preventing two or more of the Parties to continue 45nm Bulk CMOS development should they agree with the Strategic Goals and should the other Party or Parties not wish to continue beyond *****. Should the Parties agree to continue the 300mm Wafer 45nm Bulk CMOS Process Development Project after *****, all of the activities under this Agreement directed to 45nm Bulk CMOS prior to such date (as well as thereafter) shall be considered to be part of the 300mm Wafer 45nm Bulk CMOS Process Development Project, and any modification to such Strategic Goals or such agreed-to development schedule requires the written consent of the Management
Chip Designs. 3.1.1 During xxxxx the Parties agree to discuss the extension of their joint development relationship to the 45nm Bulk CMOS process (and other options as determined by the needs of the foundry marketplace). Either Party may decide not to proceed EXECUTION DRAFT November 26, 2002 with such discussions and/or extension agreement and any failure to discuss and/or agree shall not constitute a breach of this Agreement. If the Parties proceed with discussions and agree to an extension, such extension shall be set forth in a signed amendment to this Agreement, or a new agreement as the Parties deem appropriate. If the Parties do not agree on an extension by xxxxx, pursuant to this Section 3.1.1, Chartered shall have the right to develop Future Technologies with a Chartered Joint Development Partner pursuant to Section 7.11.

  • Program Design The County Human Resources Department will operate a Catastrophic Leave Bank which is designed to assist any County employee who has exhausted all paid accruals due to a serious or catastrophic illness, injury, or condition of the employee or family member. The program establishes and maintains a Countywide bank wherein any employee who wishes to contribute may authorize that a portion of his/her accrued vacation, compensatory time, holiday compensatory time or floating holiday be deducted from those account(s) and credited to the Catastrophic Leave Bank. Employees may donate hours either to a specific eligible employee or to the bank. Upon approval, credits from the Catastrophic Leave Bank may be transferred to a requesting employee's sick leave account so that employee may remain in paid status for a longer period of time, thus partially ameliorating the financial impact of the illness, injury, or condition. Catastrophic illness or injury is defined as a critical medical condition, a long-term major physical impairment or disability which manifests itself during employment.

  • Plan Design The flexible benefits plan is a cafeteria-style benefits program wherein the County makes a contribution toward the Flexible Benefits Plan for each eligible employee to be allocated during the employee's active employment. The County contribution is distributed by the employee among the menu of benefit options listed below, the specific details and administration of which are set forth in the plan brochures: "Core" Benefits: • Health insurance • County basic life and AD&D insurance Optional Benefits: • Dental insurance • Vision insurance • Supplemental life insurance • Supplemental accidental death and dismemberment insurance (AD&D) • Flexible spending accounts for pre-tax reimbursement of qualified medical and/or dependent day care expenses.   • Schematic Design Documents In accordance with the approved Preliminary Design and Construction Schedule and based upon approval of and comments made by the Owner regarding the Concept Design Studies, the Design Professional shall prepare and submit to the Owner Schematic Design Documents, including drawings and outline specifications. These documents shall represent a further development of the approved design concept, providing additional detail and specificity regarding the intended design solution. Typically, all such documents shall be drawn to scale, indicating materials and assemblies, as appropriate, to convey the design intent and to illustrate the Project’s basic elements, scale and relationship to the Site. All major pieces of furniture and equipment to be fixed or supplied by the CM/GC shall be illustrated to scale. (See ASTM Standard Practice E 1804-02, August 2007, Sections 6.3, 8.2 and 8.3 for guidance on information which is generally developed in Schematic Design.)
