Change of Governance and Management. The Approving Order shall, in addition to any and all other provisions contained therein, approve (A) the appointment of new and different members of the Board of Directors of the Debtor ("Board"), (B) the resignation of all of the members of the Board who have been such members prior to the date hereof, (C) the appointment by the Board, following the resignations of the members of the Board referred to in the immediately preceding subparagraph, of interim officers and (D) the Debtor's entering into a consulting agreement with the written consent of the Senior Creditor.
