Calls on Production. Except as set forth on Schedule 5.11, there are no calls on or preferential rights to purchase production from the Assets, take-or-pay payments, advance payment, or other arrangements whereby Grantee will not receive full payment for production delivered at the time that such production is delivered and no Property is subject to penalties on allowables due to production in excess of allowables.
Calls on Production. Except as set forth on Schedule 6.14, Seller has not (i) received any material advance, “take-or-pay” or other similar payments under production sales contracts that entitle the purchasers to “make up” or otherwise receive deliveries of Hydrocarbons without paying at such time the contract price therefore or (ii) taken or received any amount of Hydrocarbons under any gas balancing agreements or any similar arrangements not accounted for in a purchase price adjustment that permit any Person thereafter to receive any portion of the interest of Seller to “balance” any disproportionate allocation of Hydrocarbons. Except as set forth on Schedule 6.14, no Hydrocarbons attributable to the Assets are subject to a sales contract (other than contracts terminable on no more than thirty (30) days’ notice or in accordance with rights of termination by non-operators under the applicable joint operating agreement) and no Person has any call upon, option to purchase or similar rights with respect to the production from the Assets; production from the Assets is not bound by any gas dedications or subject to any monetary or in kind through-put fees or charges in connection with gathering or transportation; and the Assets are not bound by futures, hedge, swap, collar, put, call, floor, cap, option or other contracts that are intended to benefit from, relate to or reduce or eliminate the risk of fluctuations in the price of commodities, including Hydrocarbons, securities, foreign exchange rates or interest rates that will continue after Closing. To Seller’s Knowledge, proceeds from the sale of oil, condensate, and gas from the Assets are being received by Seller, as applicable, in a timely manner and are not being held in suspense for any reason. The representations in this Section 6.14 are qualified by Seller’s Knowledge to the extent such representations relate to Non-Op Properties.
Calls on Production. There are no calls on or preferential rights to purchase production from the Property.
Calls on Production. To the best knowledge of Esenjay, except as set forth in the Disclosure Schedule-Esenjay, no party has a call or a preferential right to purchase production from Esenjay's Oil and Gas Interests.
Calls on Production. Except as set forth on Schedule 5(t), there are no calls on production (whether or not exercised) or other similar marketing restrictions affecting the Operating Interests, nor will the transactions contemplated by this Agreement create any such calls on production.
Calls on Production. No Person has any call upon, option to purchase, or similar right to obtain production from the Properties at a price less than the prevailing price in the field.
Calls on Production. There are no calls on or preferential rights to purchase natural gas production from any of the Properties.
Calls on Production. Except as disclosed by KMG in writing prior to the end of the Due Diligence Period, to KMG’s knowledge, the Property is not subject to any calls on production, hedging or any marketing arrangements which affect KMG Sub’s ability to freely market the production from the Property, other than contracts that are terminable by KMG Sub on 60 days or fewer notice without the payment of any fee or penalty, or as provided in the Material Related Contracts.
Calls on Production. There are no calls on production (whether or not exercised) or other similar marketing restrictions affecting the Wxxxx or the Assets, nor will the transactions contemplated by this Agreement create any such calls on production.
Calls on Production. To Seller's Knowledge, none of the Assets are subject to any calls on production.
