BSD. The authorized capital stock of BSD consists of 100 shares of common stock, $.01 par value per share of which only 100 shares are issued and outstanding, which are held of record by Daisytek as set forth on Exhibit A.
BSD. IBM Credit may at any time, in its discretion, renew or extend the time of payment of all or any portion of the Primary Obligations or waive or release any collateral which may be held therefor and IBM Credit may enter into such agreements with BSD as IBM Credit may deem desirable without notice to or further assent from PFS and without adversely affecting IBM Credit's rights hereunder in any manner whatsoever. In furtherance of the foregoing and as collateral security for the payment and discharge in full of any and all of the Primary Obligations, PFS hereby transfers and assigns to IBM Credit the Secondary Obligations and all collateral security therefor to which PFS now is or may at any time be entitled and all rights under all guarantees thereof and agrees to deliver to IBM Credit endorsed in blank all notes or other instruments now or hereafter evidencing said Secondary Obligations. IBM Credit may file one or more financing statements concerning any security interest hereby created without the signature of PFS appearing thereon. BSD. Seller and its Affiliates, Priority Fulfillment Services Canada, Inc. and Priority Fulfillment Services Europe B.V. (collectively, the "PFS Group"), provide certain services ("Services") to Purchaser's subsidiary, Business Supplies Distributors, Inc. ("BSD") and its Affiliates, BSD (Canada), Inc. and Business Supplies Distributors Europe B.V., (collectively, including Priority Fulfillment Services Australia pty Ltd and Priority Fulfillment Services de Mexico S.A. de C.V., the "BSD Group"), in connection with the purchase and sale by the BSD Group (the "BSD Business") of various IBM products (the "IBM Products") pursuant to various IBM Master Distributor Agreements set forth on Schedule 7.2 hereof (the "IBM Agreements"). Parent covenants and agrees that between the date hereof and December 31, 2001 (i) it will provide reasonable cooperation to Seller in connection with the proposed transition and transfer of the BSD Business and the IBM Agreements to the PFS Group or its designee and (ii) it will not become a master distributor of IBM products, as provided in the IBM Agreements or, so long as the PFS Group is a master distributor of IBM products, become a second master distributor of IBM products. Nothing contained herein shall restrict Parent or its Affiliates (other than the BSD Group) from continuing to conduct its business as it is currently being conducted, which includes the distribution and sale of IBM products.

  • Sub-licensing The Licensee shall be entitled to grant sub-licences of its rights under this Agreement to any person, provided that:

  • Software License Subject to the terms of this Agreement, Viasat grants to you a personal, non-exclusive, non-assignable and non-transferable license to use and display the software provided by or on behalf of Viasat (including any updates) only for the purpose of accessing the Service ("Software") on any computer(s) on which you are the primary user or which you are authorized to use. Our Privacy Policies provide important information about the Software applications we utilize. Please read the terms very carefully, as they contain important disclosures about the use and security of data transmitted to and from your computer. Unauthorized copying of the Software, including, without limitation, software that has been modified, merged or included with the Software, or the written materials associated therewith, is expressly forbidden. You may not sublicense, assign, or transfer this license or the Software except as permitted in writing by Viasat. Any attempt to sublicense, assign or transfer any of the rights, duties or obligations under this license is void and may result in termination by Viasat of this Agreement and the license. You agree that you shall not copy or duplicate or permit anyone else to copy or duplicate any part of the Software, or create or attempt to create, or permit others to create or attempt to create, by reverse engineering or otherwise, the source programs or any part thereof from the object programs or from other information made available under this Agreement.

  • Limited License In accordance with SNA’s non-exclusive grant to the Affiliate to be an affiliate of SNA in the State, the Affiliate is hereby granted a limited, revocable, non-exclusive license to use for appropriate purposes and in a professional manner as authorized by this Agreement: (i) the names “School Nutrition Association,” “SNA” and other trademarks, service marks, trade names, and logos possessed or developed by SNA (hereinafter collectively referred to as the ''Marks"), (ii) SNA’s postal mail, telephone, telecopier/facsimile, and electronic mail lists with respect to past, current or prospective members of SNA located within the State (hereinafter collectively referred to as the "Mailing Lists''), and (iii) all copyrighted or proprietary information and materials provided by SNA to the Affiliate during the Term of this Agreement (hereinafter referred to as the "Proprietary lnformation"). The Marks, Mailing List, and Proprietary Information are hereinafter collectively referred to as the "Intellectual Property". The limited authority granted by this Agreement to use the Intellectual Property will extend solely to the activities authorized under this Agreement as outlined in section IV, and will be subject to the all terms and conditions of this Agreement and any written guidelines provided to the Affiliate by SNA. SNA’s Marks may not be revised or altered in any way and must be displayed in the same form as provided by SNA. SNA’s Marks may not be used in conjunction with or combined with any other trademark, name or service xxxx without the express prior written approval of SNA. SNA’s Intellectual Property will not be used in any manner that, in the sole discretion of SNA, adversely affects SNA’s or its members’ reputations and goodwill, is false or misleading, violates the rights of others, violates this Agreement or violates any law, regulation or public policy. Affiliate will not sell, transfer, permit others to use or otherwise disseminate the Mailing Lists, except as specifically authorized by SNA. Use of SNA’s Intellectual Property will confer no rights upon the Affiliate other than the limited and revocable license granted by this Agreement. Affiliate will promptly provide copies of any and all uses of the Intellectual Property upon request by SNA. This paragraph will survive the termination of this Agreement.

  • Exclusive License Licensor hereby grants to Licensee and Licensee hereby accepts from Licensor, upon the terms and conditions herein specified, a sole and exclusive license under the Licensed Patent Rights in the Territory, and in the Field of Use to develop, make, have made, import, have imported, use, offer to sell, sell and otherwise commercialize Licensed Product(s).

  • Licenses Awarded Vendor shall maintain, in current status, all federal, state and local licenses, bonds and permits required for the operation of the business conducted by awarded Vendor. Awarded Vendor shall remain reasonably fully informed of and in compliance with all ordinances and regulations pertaining to the lawful provision of goods or services under the Agreement. TIPS and TIPS Members reserves the right to stop work and/or cancel an order or terminate this or any other sales Agreement of any awarded Vendor whose license(s) required for performance under this Agreement have expired, lapsed, are suspended or terminated subject to a 30-day cure period unless prohibited by applicable statue or regulation.
