Be Free Sample Clauses

Be Free. Subject to the licenses granted to GeoCities in Section 3, as between the parties, Be Free (and, to the extent applicable, its suppliers) shall own all right, title and interest, including all patent rights, copyrights, trade secret rights, mask work rights and other intellectual property rights throughout the world (collectively, "Intellectual Property Rights") in and to the Licensed Materials. GeoCities agrees not to take any action inconsistent with Be Free's ownership of the Licensed Material as described herein.

Be Free. Be Free represents and warrants that (i) it has sufficient rights in and to the Licensed Materials to grant the licenses contained in this Agreement; (ii) to its knowledge, the use of the Licensed Materials, the Deliverables and any other technology or other intellectual property that is required for Be Free to perform the services contemplated in this Agreement will not violate, infringe or misappropriate any third party's intellectual property or other rights, domestic or foreign; (iii) the Licensed Materials are free from material defects and the GeoCities Affiliates Program shall, in all material respects, perform in accordance with the Specifications; and (iv) the Deliverables, the Licensed Materials and any software used by Be Free to perform its obligations hereunder shall record, store, process and present calendar dates falling on or after January 1, 2000 in substantially the same manner and with substantially the same degree of performance and functionality as prior to January 1, 2000.

  • Refusal to Transfer The Company shall not be required (i) to transfer on its books any Shares that have been sold or otherwise transferred in violation of any of the provisions of this Agreement or (ii) to treat as owner of such Shares or to accord the right to vote or pay dividends to any purchaser or other transferee to whom such Shares shall have been so transferred.

  • Job Sharing / Time Sharing (a) Job sharing shall be interpreted to mean two employees sharing one full- time position (10 shifts bi-weekly).

  • Permanent Full-Time Employees Pay and benefits will be computed on a monthly pay status basis.

  • UNION XXXXXXX 9:01 The Union may appoint and the Employer shall recognize a Xxxxxxx for each shop, job or area. The Employer's General Manager shall be notified in writing of the name of the Xxxxxxx when the appointment becomes effective. The Xxxxxxx shall be recognized as the representative of the Union for the shop, job or area in which he/she is working and no discrimination shall be shown against the Xxxxxxx for carrying out his/her Union duties. The Xxxxxxx shall not be laid off, transferred or discharged by reason of executing his/her Union duties and responsibilities as a Xxxxxxx. To be eligible for appointment as a Xxxxxxx, the employee must have been in the employ of the Company for 12 consecutive months immediately prior to the appointment.

  • Personal Sick Leave The following provisions will apply to all employees (other than casual employees) covered by this Agreement.

  • Industrial Relations 4.1 The Unions agree that, provided the provisions of this Agreement are implemented, no stoppage of work shall occur.

  • Industrial Accident or Illness Leave 7.6.1 All unit members shall receive sixty (60) days’ leave with pay in any one fiscal year for an industrial accident or illness. An industrial accident or illness is defined as one where the unit member becomes ill or is injured while he/she is serving the District, and, the accident or illness is reported to the District’s Self-Insurance Program in accordance with District regulations, and, the District Self-Insurance Program accepts responsibility for the treatment of the unit member.

  • Status as Business Development Company The Borrower is an “investment company” that has elected to be regulated as a “business development company” within the meaning of the Investment Company Act and qualifies as a RIC.

  • Personal Belongings Tenant agrees not to leave any personal belongings (including lawn furniture) in the parking areas, common halls, sidewalks, lawn areas or other common areas of the apartment community.

  • Personal Business Leave A. Each teacher shall be granted three (3) days of personal business leave each year to conduct personal business that must be conducted at times that school is in session. Each day shall be granted with the teacher receiving his/her full contract salary. (Rev: 2007)
