Bankruptcy or Bankrupt with respect to any Person, that (a) such Person (i) makes an assignment for the benefit of creditors; (ii) files a voluntary petition in bankruptcy; (iii) is insolvent, or has entered against such Person an order for relief in any bankruptcy or insolvency proceeding; (iv) files a petition or answer seeking for such Person any reorganization, arrangement, composition, readjustment, liquidation, dissolution or similar relief under any Law; (v) files an answer or other pleading admitting or failing to contest the material allegations of a petition filed against such Person in a proceeding of the type described in subclauses (i) through (iv) of this clause (a); or (vi) seeks, consents to or acquiesces in the appointment of a trustee, receiver or liquidator of such Person or of all or any substantial part of such Person’s properties; or (b) 120 Days have passed after the commencement of any proceeding seeking reorganization, arrangement, composition, readjustment, liquidation, dissolution or similar relief under any Law, if the proceeding has not been dismissed, or 90 Days have passed after the appointment without such Person’s consent or acquiescence of a trustee, receiver or liquidator of such Person or of all or any substantial part of such Person’s properties, if the appointment is not vacated or stayed, or 90 Days have passed after the date of expiration of any such stay, if the appointment has not been vacated.

A Partner shall be deemed Bankrupt if the Bankruptcy of such Partner shall have occurred and be continuing.
Bankruptcy or Bankrupt. (A) The entry of a decree or order for relief against a Partner, by a court of competent jurisdiction in any voluntary or involuntary case brought against the Partner under any bankruptcy, insolvency or similar law (collectively, “Debtor Relief Laws”) generally affecting the rights of creditors and relief of debtors now or hereafter in effect; (B) the appointment of a receiver, liquidator, assignee, custodian, trustee, sequestrator or other similar agent under applicable Debtor Relief Laws for a Partner or for any substantial part of a Partner’s assets or property; (C) the ordering of the winding up or liquidation of a Partner’s affairs; (D) the filing of a voluntary petition in bankruptcy by a Partner or the filing of an involuntary petition against a Partner, which petition is not dismissed within a period of 60 days; (E) the consent by a Partner to the entry of an order for relief in a voluntary or involuntary case under any Debtor Relief Laws or to the appointment of, or the taking of any possession by, a receiver, liquidator, assignee, trustee, custodian, sequestrator or other similar agent under any applicable Debtor Relief Laws for a Partner or for any substantial part of a Partner’s assets or property; or (F) the making by a Partner of any general assignment for the benefit of such Partner’s creditors. Book ValueWith respect to any Partnership Property, the Partnership’s adjusted basis for federal income tax purposes, adjusted from time to time to reflect the adjustments required or permitted by Regulation Section 1.704-1(b)(2)(iv)(d)-(g) (provided that, in the case of permitted adjustments, the Partnership chooses to make such adjustments); provided that the Book Value of any asset contributed to the Partnership will be equal to the fair market value of the contributed asset on the date of contribution.
