Upon admission of a new Member pursuant to this Section 3.3, the Sharing Ratio of each Member shall be adjusted in accordance with the Members’ previous Sharing Ratios, and the Company shall amend the Capitalization Table, and, if appropriate, any other provision of this Agreement, to reflect the addition of the new Member and to reflect the adjustment in the Sharing Ratios and the rights and preferences of the Members after such issuance and any other rights and preferences applicable to the New Units.
Each Equity Member properly electing to purchase New Units pursuant to this Section 3.15(a) shall be entitled to purchase such Equity Member’s pro rata share (in accordance with such Member’s Sharing Ratio) of the number of New Units specified in the Preemptive Rights Notice.
Any New Units remaining thereafter may be issued by the Company within 90 days after it provides the Preemptive Rights Notice to the Equity Members on terms no less favorable to the Company than those contained in the Preemptive Rights Notice.
Each Equity Member shall have 15 days from the date the Preemptive Rights Notice is delivered to give the Company written notice of such Equity Member’s election to purchase all or any portion of its pro rata share (in accordance with such Member’s Sharing Ratio) of such New Units for the price and upon the general terms specified in the Preemptive Rights Notice.
Any Equity Member who does not provide such notice to the Company within such 15-day period shall be deemed to have waived such Equity Member’s preemptive rights with respect to such New Units, provided the Company consummates the issuance thereof within 90 days after it provides the Preemptive Rights Notice to the Equity Members at a price equal to or higher than the price specified in the Preemptive Rights Notice.
