Approval Fees. The Developer shall deal directly with the all applicable utilities, authorities and/or agencies to obtain all necessary permits and approvals. The Developer shall be responsible for paying all fees and charges directly to the appropriate entity until a Certificate of Maintenance and Final Acceptance is issued for all Services.

Approval Fees. If Lessee requests Lessor’s approval in connection with this Lease (including but not limited to the approval of a sublease, assignment, encumbrance, landlord’s consent, estoppel certificate, bond, certificate of insurance, or amendment to this Lease), Lessee shall reimburse Lessor for (i) its out-of-pocket costs and attorneys’ fees incurred by Lessor regarding any such request and (ii) fees imposed by the Secretary, if any. Lessor may request a deposit before commencing the review of any such request and may make any final approval contingent on the receipt of the balance.

  • Legal Fees The parties hereto agree that the non-prevailing party in any dispute, claim, action or proceeding between the parties hereto arising out of or relating to the terms and conditions of this Agreement or any provision thereof (a “Dispute”), shall reimburse the prevailing party for reasonable attorney’s fees and expenses incurred by the prevailing party in connection with such Dispute; provided, however, that the Director shall only be required to reimburse the Company for its fees and expenses incurred in connection with a Dispute if the Director’s position in such Dispute was found by the court, arbitrator or other person or entity presiding over such Dispute to be frivolous or advanced not in good faith.
