AND TERMS OF PAYMENT. Licensee shall pay to SJAM a "License Fee" as set forth in the attached Exhibit "A", on or before the first day of the month in which the Rental is to occur. In addition to the License Fee, Licensee shall pay to SJAM no later than forty five (45) days prior to the rental date or on date of execution of this Agreement, whichever occurs first, a Deposit in amount shown on Exhibit A as security for purposes of (i) securing the full and faithful performance of each and every provision of this Agreement by the Licensee, or (ii) providing SJAM with funds to pay the expenses it has incurred under this Agreement if Licensee fails to use the premises for ice hockey competition or practices, as its schedule indicates, for any reason other than an act of force majeure as provided in Section 4(a) herein below. If the Licensee materially defaults with respect to any provision of this Agreement, including without limitation the obligation to surrender the Rental Areas in the same condition as at the beginning of the Term and in good order, ordinary wear and tear excepted or after executing and delivering this Agreement fails to use the premises for ice hockey competition or practices, as its schedules indicates for any reason other than an act of force majeure as provided in Section 4(a) herein below then in any of these instances, SJAM may (but shall not be required to) use, apply or retain all or any part of the Deposit for the payment of any amount which SJAM may spend or become obligated to spend by reason of the Licensee's default or to compensate SJAM for any other loss or damage which SJAM may suffer by reason of the Licensee's default including without limitation the Costs. If the Licensee shall fully and faithfully perform every material provision of this Agreement to be performed by it, the Deposit, or any balance thereof remaining, shall be applied against the Rental and all other obligations of the Licensee hereunder. Payments not received when due shall be subject to a ten percent (10%) per annum late fee and may subject this License Agreement to termination at the discretion of SJAM upon two (2) days prior written notice to Licensee. If condition of Sharks Ice or Ice precludes use of ice by Licensee, Licensee shall not be billed for the affected amount of time and there shall be no replacement time/ice provided.
