Agreement to Issue Bonds; Application of Proceeds. In order to provide funds for the payment of the cost of the acquisition, construction and installation of the Facilities (including capitalized interest), the Issuer agrees that as soon as possible it will authorize, validate, sell and cause to be delivered to the Original Purchasers thereof, the Bonds, bearing interest and maturing as set forth in Article II of the Indenture, at a price to be approved by the Company, and it will thereupon deposit an amount equal to the Interest Reserve Requirement into the Bond Fund and will deposit the balance of the proceeds received from said sale in the Construction Fund. The Company may cause such changes to be made to the "Description of Facilities" attached hereto as Exhibit A as it may desire provided that such changes shall not result in (i) the Facilities not being a 19 "project" within the meaning of the Act, (ii) the Facilities constituting a prohibited facility within the meaning of Section 103(b) of the Code, (iii) less than substantially all of the net proceeds of the sale of the Bonds being used to pay the costs of land or property of a character subject to the allowance for depreciation under Section 167 of the Code, and (iv) a violation of the limitation on maturity of the Bonds under Section 103(b)(14) of the Code.

Agreement to Issue Bonds; Application of Proceeds. In order to provide funds for the payment of the cost of the Project, the Issuer agrees that as soon as possible it will authorize, sell and cause to be delivered to the initial purchaser or purchasers thereof, the Bonds, bearing interest and maturing as set forth in Article II of the Indenture, at a price to be approved by the Borrower, and it will thereupon deposit the proceeds received from said sale in the Project Fund. The Borrower may cause such changes to be made to the aforesaid plans and specifications for the Project as it may desire provided that such changes shall not result in the Projects not being a “project” within the meaning of the Act.

Agreement to Issue Bonds; Application of Proceeds. In order to provide moneys to refund the Prior Bonds and the Interim Indebtedness and to pay or reimburse the prior payment of the Project Costs, the Issuer will proceed as promptly as practicable with the issuance and sale of the Series 1996B Bonds in the aggregate principal amount of $990,000 and the Series 1996A Bonds in the aggregate principal amount of $4,000,000, respectively, bearing interest, maturing and having the other terms and provisions set forth in the Indenture. The proceeds of sale of the Series 1996A Bonds shall be deposited in the Construction Fund, for application to pay or reimburse the prior payment of Project Costs as hereinabove and in the Indenture provided. The proceeds of sale of the Series 1996B Bonds shall be deposited in the Refunding Fund, for immediate application to (a) the retirement of the Interim Indebtedness and (b) the payment to the Prior Trustee for redemption of the Prior Bonds on the earliest practicable date (but in no event later than the 90th day following the Issue Date). On the Issue Date, the Company shall deposit in the Refunding Fund such additional amounts, if any, as shall be necessary to pay in full the Interim Indebtedness and to provide for the redemption, on the redemption date designated by the Prior Trustee, of all outstanding Prior Bonds (including accrued interest thereon to such redemption date).

  • Application of Proceeds The Collateral Agent shall apply the proceeds of any collection, sale, foreclosure or other realization upon any Collateral, including any Collateral consisting of cash, as follows: FIRST, to the payment of all costs and expenses incurred by the Administrative Agent or the Collateral Agent (in their respective capacities as such hereunder or under any other Loan Document) in connection with such collection, sale, foreclosure or realization or otherwise in connection with this Agreement, any other Loan Document or any of the Obligations, including all court costs and the reasonable fees and expenses of its agents and legal counsel, the repayment of all advances made by the Collateral Agent or the Administrative Agent hereunder or under any other Loan Document on behalf of any Grantor and any other costs or expenses incurred in connection with the exercise of any right or remedy hereunder or under any other Loan Document; SECOND, to the payment in full of Unfunded Advances/Participations (the amounts so applied to be distributed between or among the Administrative Agent, any Swingline Lender and any Issuing Bank pro rata in accordance with the amounts of Unfunded Advances/Participations owed to them on the date of any such distribution); THIRD, to the payment in full of all other Obligations (the amounts so applied to be distributed (subject to the first proviso to Section 3.01 and clause (B) of the first proviso to Section 4.01(a)) among the Secured Parties pro rata in accordance with the amounts of the Obligations owed to them on the date of any such distribution); and FOURTH, to the Grantors, their successors or assigns, or as a court of competent jurisdiction may otherwise direct. The Collateral Agent shall have absolute discretion as to the time of application of any such proceeds, moneys or balances in accordance with this Agreement. Upon any sale of Collateral by the Collateral Agent (including pursuant to a power of sale granted by statute or under a judicial proceeding), the receipt of the Collateral Agent or of the officer making the sale shall be a sufficient discharge to the purchaser or purchasers of the Collateral so sold and such purchaser or purchasers shall not be obligated to see to the application of any part of the purchase money paid over to the Collateral Agent or such officer or be answerable in any way for the misapplication thereof.

  • Applications of Proceeds The proceeds of any such sale, lease or other disposition of the Collateral hereunder shall be applied first, to the expenses of retaking, holding, storing, processing and preparing for sale, selling, and the like (including, without limitation, any taxes, fees and other costs incurred in connection therewith) of the Collateral, to the reasonable attorneys' fees and expenses incurred by the Secured Party in enforcing its rights hereunder and in connection with collecting, storing and disposing of the Collateral, and then to satisfaction of the Obligations, and to the payment of any other amounts required by applicable law, after which the Secured Party shall pay to the Company any surplus proceeds. To the extent permitted by applicable law, the Company waives all claims, damages and demands against the Secured Party arising out of the repossession, removal, retention or sale of the Collateral, unless due to the gross negligence or willful misconduct of the Secured Party.

  • Application of Proceeds; Turnover Provisions All proceeds of Common Collateral (including without limitation any interest earned thereon) resulting from the sale, collection or other disposition of Common Collateral in connection with an Enforcement Action, whether or not pursuant to an Insolvency Proceeding, shall be distributed as follows: first to the First Priority Representative for application to the First Priority Obligations in accordance with the terms of the First Priority Documents, until the First Priority Obligations Payment Date has occurred and thereafter, to the Second Priority Representative for application in accordance with the Second Priority Documents.   • Application of Proceeds of Collateral Notwithstanding anything to the contrary in this Agreement, in the case of any Event of Default under Section 9.1(i), immediately following the occurrence thereof, and in the case of any other Event of Default, upon the termination of the Revolving Credit Aggregate Commitment, the acceleration of any Indebtedness arising under this Agreement and/or the exercise of any other remedy in each case by the requisite Lenders under Section 9.2 hereof, the Agent shall apply the proceeds of any Collateral, together with any offsets, voluntary payments by any Credit Party or others and any other sums received or collected in respect of the Indebtedness first, to pay all incurred and unpaid fees and expenses of the Agent under the Loan Documents and any protective advances made by Agent with respect to the Collateral under or pursuant to the terms of any Loan Document, next, to pay any fees and expenses owed to the Issuing Lender hereunder, next, to the Indebtedness under the Revolving Credit (including the Swing Line and any Reimbursement Obligations), any obligations owing by any Credit party under any Hedging Agreements or in connection with any Lender Products on a pro rata basis, next, to any other Indebtedness on a pro rata basis, and then, if there is any excess, to the Credit Parties or as otherwise required under applicable law, as the case may be.
