Patents, Copyrights, Trademarks, and Other Property Rights. Any and all inventions, improvements, discoveries, formulas, technology, business strategies, management, administration, and accounting systems, processes, and computer software relating to the Company’s or its affiliates’ business (whether or not patentable), discovered, developed, or learned by Executive during his employment with the Company or used by the Company or its affiliates in the conduct of their respective businesses are the sole and absolute property of Company and are “works made for hire” as that term is defined in the copyright laws of the United States. The Company is the sole and absolute owner of all patents, copyrights, trademarks, and other property rights to those items and Executive will fully assist the Company to obtain the patents, copyrights, trademarks, or other property rights to all such inventions, improvements, discoveries, formulas, technology, business strategies, management, administration, and accounting systems, processes, or computer software. Executive has been notified by the Company and understands that the foregoing provisions of this Section 10 do not apply to an invention for which no equipment, supplies, facilities, confidential, proprietary, or trade secret information of the Company or its affiliates was used and which was developed entirely on Executive’s own time, unless the invention: (a) relates to the business of the Company or its affiliates or to their actual or demonstrably anticipated research and development, or (b) results from any work performed by Executive for the Company or its affiliates.

Executive acknowledges and agrees that Affinity and/or a Board Shareholder is the sole and absolute owner of all patents, copyrights, trademarks, and other property rights to the Intellectual Property, Executive expressly disclaims any and all ownership rights to such Intellectual Property, and Executive will fully assist Affinity and/or the Board Shareholders to obtain the patents, copyrights, trademarks, or other property rights to all Intellectual Property. Executive has been notified by Affinity and understands that the foregoing provisions of this Paragraph 13 do not apply to an invention for which no equipment, supplies, facilities, confidential, proprietary, or trade secret information of Affinity, its affiliates, or the Board Shareholders was used and which was developed entirely on Executive’s own time, unless the invention: (a) relates to the business of Affinity, its affiliates, or the Board Shareholders or to their actual or demonstrably anticipated research and development, or (b) results from any work performed by Executive for Affinity, its affiliates, or the Board Shareholders.

Patents, Copyrights, Trademarks, and Other Property Rights. 1. Any patentable inventions and suggestions for technical improvements (Verbesserungsvorschläge) which were or are discovered, developed or created by the Managing Director during the term of this Contract shall be governed by the German Act on Employee Inventions (Arbeitnehmererfindungsgesetz). The Managing Director shall in particular be obliged to immediately report any such Employee Invention to the Company and, unless the respective Employee Invention is released by the Company, keep the Employee Invention confidential. The Managing Director agrees to fully assist the Company to obtain the patents and utility models for all Employee Inventions claimed by the Company. Upon request the Managing Director shall assist the Company with the registration of industrial property rights on behalf of the Company to the best of his ability, and will, in particular, make the necessary declarations to the respective registration authority and present the necessary documents.

  • Patents, Trademarks and Copyrights Machinery and equipment of the VESSEL, whether made or furnished by the BUILDER under this CONTRACT, may bear the patent numbers, trademarks, or trade names of the manufacturers. The BUILDER shall defend and save harmless the BUYER from all liabilities or claims for or on account of the use of any patents, copyrights or design of any nature or kind, or for the infringement thereof including any unpatented invention made or used in the performance of this CONTRACT and also for any costs and expenses of litigation, if any in connection therewith. No such liability or responsibility shall be with the BUILDER with regard to components and/or equipment and/or design supplied by the BUYER. Nothing contained herein shall be construed as transferring any patent or trademark rights or copyrights in equipment covered by this CONTRACT, and all such rights are hereby expressly reserved to the true and lawful owners thereof.

Each of such items has been maintained so as to preserve the value thereof from the date of creation or acquisition thereof. With respect to all software used by any Borrower, such Borrower is in possession of all source and object codes related to each piece of software or is the beneficiary of a source code escrow agreement, each such source code escrow agreement being listed on Schedule 5.9 hereto.

The Company and each of its Subsidiaries have taken reasonable security measures to protect the secrecy, confidentiality and value of their Intellectual Property.
