Tier 3 Covered Employee definition

Tier 3 Covered Employee means all individuals designated as executive officers by the Company not already included as a Tier 1 or Tier 2 Covered Employee.
Tier 3 Covered Employee means (a) with respect to the Change in Control Severance Benefits provided pursuant to Section 4, any employee of the Company designated as an employee under Tier 3 as shown on Appendix A attached hereto and (b) with respect to the Severance Benefits provided pursuant to Section 5, any employee of the Company who, immediately prior to the Change of Control, has the employee title designated under Tier 3 as shown on Appendix B attached hereto.
Tier 3 Covered Employee means an employee of the Company that is designated as a “Tier 3 Covered Employee” by the Board. Designations may be by name or corporate level.

Examples of Tier 3 Covered Employee in a sentence

  • Each Tier 3 Covered Employee will be entitled to receive a lump sum cash payment equal to 100% of his or her Base Salary and target incentive bonus for the year during which such termination occurs.

  • If the Covered Employee is a Tier 3 Covered Employee, he or she shall be entitled to receive a lump sum cash payment equal to six (6) months of Base Pay and six (6) months of the Covered Employee’s Target Bonus.

  • If the Covered Employee is a Tier 3 Covered Employee, he or she shall be entitled to the sum of (i) an amount equal to nine (9) months of the Covered Employee’s annualized Base Pay and (ii) 0.75 times the Covered Employee’s Target Bonus, paid in a lump sum on the first regularly-scheduled payroll date following the date the Covered Employee’s Release becomes effective (but in no event more than seventy-five (75) days following such termination date).

More Definitions of Tier 3 Covered Employee

Tier 3 Covered Employee means an employee of the Company who is designated as a “Tier 3 Covered Employee” by the Board. Such designation may be by name or corporate level.
Tier 3 Covered Employee means a Vice President-level employee of the Company and who has been designated by the Administrator under Tier 3 as shown on Appendix A attached hereto.
Tier 3 Covered Employee means a Covered Employee who has been designated as under Tier 3 in a Participation Agreement.

Related to Tier 3 Covered Employee

  • Covered Employee means an employee who is a “Covered Employee” within the meaning of Section 162(m) of the Code.

  • Covered Employer means the City of Cambridge or a Beneficiary of Assistance.

  • Covered Employees has the meaning set forth in Section 5.11(a).

  • Covered Employment means employment in a covered position.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Tipped employee means any employee engaged in an occupation in which s/he customarily and regularly receives more than $30 per month in tips. Tips include amounts designated as a tip by credit card customers on their charge slips. Nothing in this rule prevents an employer from requiring employees to share or allocate such tips or gratuities on a pre-established basis among other employees who customarily and regularly receive tips. Employer-required sharing of tips with employees who do not customarily and regularly receive tips, such as management or food preparers, or deduction of credit card processing fees from tipped employees, shall nullify allowable tip credits towards the minimum wage.

  • Eligible Executive means an employee of the Company selected as being eligible to participate in this Plan under Section C.1.a.

  • Qualifying Employee means any employee of Managing Agent or Parent or any of their respective subsidiaries who is and has been an employee of Managing Agent or Parent or any of their respective subsidiaries for at least thirty-six (36) months.

  • Covered Executives means the Company’s current and former executive officers, as determined by the Administrator in accordance with the definition of executive officer set forth in Rule 10D-1 and the Listing Standards.

  • Covered Compensation means any Incentive-Based Compensation granted, vested or paid to a person who served as an Executive Officer at any time during the performance period for the Incentive-Based Compensation and that was Received (i) on or after the effective date of the NYSE listing standard, (ii) after the person became an Executive Officer and (iii) at a time that the Company had a class of securities listed on a national securities exchange or a national securities association.

  • Hired Employee has the meaning set forth in Section 6.1.6.

  • Covered Executive means any “executive officer” of the Company as defined under Rule 10D-1.

  • Eligible Employee means full-time and part-time employees in the bargaining unit who have completed four hundred and fifty (450) hours of service and who are not prohibited from contributing to the Plan by legislation or the Plan rules because of their age or because they are in receipt of a pension from the Plan.

  • Designated Employee means an employee who has been designated by the school to receive complaints of hazing, harassment and bullying pursuant to subdivision 16 V.S.A. 570a(a)(7). The designated employees for each school building are identified in Appendix A of this policy.

  • Retired Employee means an employee of the state who retired after April 29, 1971,

  • Qualified employee means an individual who:

  • Disability benefit recipient means a member who is receiving a disability benefit.

  • Qualified employment position means a permanent full-time

  • Regular benefits ’ means benefits payable to an individual under this act or under any other state law, including benefits payable to federal civilian employees and to ex-servicemen pursuant to 5 U.S.C. chapter 85, other than extended benefits.

  • Earned Compensation means any Annual Base Salary earned, but unpaid, for services rendered to the Company on or prior to the date on which the Employment Period ends pursuant to Section 3(a) (but excluding any salary and interest accrued thereon payment of which has been deferred).

  • Eligible Employees means each employee of the Company or an Affiliate.

  • Eligible Compensation means, with respect to each Participant for each pay period, the full salary and wages paid to such Participant by the Company or a Participating Subsidiary, including commissions, bonuses (to the extent not excluded below), overtime pay and shift differentials. Except as otherwise determined by the Committee, “Eligible Compensation” does not include

  • Key Employee means any executive-level employee (including, division director and vice president-level positions) as well as any employee who, either alone or in concert with others, develops, invents, programs, or designs any Company Intellectual Property (as defined in the Purchase Agreement).

  • Eligible casual employee means a casual employee employed during a period of at least 12 months, either:

  • Includible Compensation means an Employee’s actual wages in box 1 of Form W-2 for a year for services to the Employer, but subject to a maximum of $245,000 (or such higher maximum as may apply under section 401(a)(17) of the Code) and increased (up to the dollar maximum) by any compensation reduction election under section 125, 132(f), 401(k), 403(b), or 457(b) of the Code (including any Elective Deferral under the Plan). Beginning in 2009 and thereafter, such term also includes any “differential pay” that may be received from the Employer while performing qualified military service under section 414(u) of the Code. The amount of Includible Compensation is determined without regard to any community property laws.

  • Density bonus means a floor area ratio bonus over the otherwise maximum allowable density permitted under the applicable zoning ordinance and land use elements of the general plan of a city, including a charter city, city and county, or county of:
