Tax Expert definition

Tax Expert means independent Tax counsel of recognized national standing or a nationally recognized independent public accounting firm, in either case, with experience in the tax area(s) involved or at issue.
Tax Expert means one of the firms identified as such in Section 9.01 of the Entergy Disclosure Letter.
Tax Expert means a Sydney barrister who specialises in tax law:

Examples of Tax Expert in a sentence

  • Company shall deliver to Seller a written notice (the "Nomination Notice") of: (i) the names of three persons qualified and willing to accept appointment as an Independent Tax Expert; (ii) a description provided by each nominee of his or her qualifications to serve as an Independent Tax Expert; (iii) a written undertaking by each nominee to review Seller's tax credit strategy and application, and (iv) each nominee's fee proposal.

  • Seller and Company shall agree on a mutually acceptable person to serve as the Independent Tax Expert within ten (10) Business Days of Seller's receipt of Company's written notice.

  • Seller shall pay the fees and expenses of the Independent Tax Expert.

  • If the Parties fail to agree upon a mutually acceptable Independent Tax Expert within the aforesaid ten Business Day period, such disagreement shall be resolved pursuant to Section 3(g) of this Attachment J (Company Payments for Energy, Dispatchability and Availability of XXXX).

  • The amount of any costs of the Tax Expert will be allocated pro rata among all Preference Unit Holders to whom the proviso in clauses 17.2(d)(ii) or 17.2(f)(ii) (or a provision of an agreement corresponding to those provisions) does not apply.

Tax Expert means an independent Tax expert appointed in accordance with clause 5.7.

Tax Expert means a counsel or adviser (from a “big fouraccountancy firm or recognised law firm) who has specialised in Tax matters for at least 10 years and being a member of the Dutch Tax Advisors Association (Nederlandse Orde van Belastingadviseurs (“NOB”)) and/or the Dutch Association of Tax Lawyers (Nederlandse Vereniging van Advocaat-Belastingkundigen (“NVAB”)) or an equivalent association in the appropriate jurisdiction and to whom the Purchasers and the GP Limited Partnership Seller have agreed to refer a dispute or, failing such agreement within 10 Business Days, a counsel or adviser who has specialised in Tax matters for at least 10 years and who is nominated by the Chairman of the NOB or NVAB or an equivalent association in the appropriate jurisdiction upon the request in writing by either the GP Limited Partnership Seller or a Purchasers’ Group Company for such nomination.
Tax Expert means a partner specializing in Federal Income Tax matters at a nationally recognized law firm or a partner specializing in Federal Income Tax matters at a Big 5 accounting firm.
Tax Expert means a counsel or adviser (from a “big fouraccountancy firm or recognised law firm) who has specialised in Tax matters for at least 10 years and being a member of the Dutch Tax Advisors Association (Nederlandse Orde van Belastingadviseurs (“NOB”)) and/or the Dutch Association of Tax Lawyers (Nederlandse Vereniging xxx Xxxxxxxx-Belastingkundigen (“NVAB”)) or an equivalent association in the appropriate jurisdiction and to whom the Purchasers and the GP Limited Partnership Seller have agreed to refer a dispute or, failing such agreement within 10 Business Days, a counsel or adviser who has specialised in Tax matters for at least 10 years and who is nominated by the Chairman of the NOB or NVAB or an equivalent association in the appropriate jurisdiction upon the request in writing by either the GP Limited Partnership Seller or a Purchasers’ Group Company for such nomination.
Tax Expert means any reputable law firm or tax advisory firm that, in respect of any Dutch tax matters, is a member of the Dutch Association of Tax Advisers (Nederlandse Orde van Belastingadviseurs (NOB)), and that is independent from the Parties;
Tax Expert means a partner or principal of a widely recognized accounting firm with expertise in the relevant area of disagreement, provided that such partner or principal does not, and the accounting firm with which such partner or principal is associated does not, have a conflict of interest with respect to the determination of such disagreement or dispute.
