Neutral Auditor definition

Neutral Auditor means Ernst & Young or, if Ernst & Young is unable to serve, an impartial nationally recognized firm of independent certified public accountants other than Seller’s accountants or Purchaser’s accountants, mutually agreed to by Purchaser and Seller.
Neutral Auditor has the meaning ascribed thereto in Section 3.10(c);
Neutral Auditor has the meaning set forth in Section 2.4(b).

Examples of Neutral Auditor in a sentence

  • Each party agrees to execute, if requested by the Neutral Auditor, a reasonable engagement letter.

  • Each Party agrees to promptly execute a reasonable engagement letter, if requested to do so by the Neutral Auditor.

  • Except as provided in the preceding sentence, all other costs and expenses incurred by the parties in connection with resolving any dispute hereunder before the Neutral Auditor shall be borne by the party incurring such cost and expense.
