Neutral Auditor definition
Neutral Auditor means Ernst & Young or, if Ernst & Young is unable to serve, an impartial nationally recognized firm of independent certified public accountants other than Seller’s accountants or Purchaser’s accountants, mutually agreed to by Purchaser and Seller.
Neutral Auditor has the meaning ascribed thereto in Section 3.10(c);
Neutral Auditor has the meaning set forth in Section 2.7(d).

Concurrently with each submission, Seller and Buyer may also furnish to the Neutral Auditor such other information and documents as such Party deems relevant or such information with complete copies of such information and documents being provided concurrently to the other Party.
