The Seller and the Administrative Agent (at the direction of the Majority Purchasers) shall instruct the Neutral Auditor to deliver its written determination of the correct calculation of the Buydown Gold Ounce and Buydown Premium to them no later than ten (10) Business Days after the dispute has been referred to it (or within any other period of time as mutually agreed between the Seller and the Administrative Agent).
Any determination rendered by the Neutral Auditor in respect of the calculation of the Buydown Gold Ounces and Buydown Premium shall be final and binding on the Parties.
At the conclusion of such determination by the Neutral Auditor, if the quantity of the Buydown Gold Ounces and Buydown Premium determined by the Neutral Auditor to be due to the Purchasers is greater than the quantity calculated by the Seller, then the reasonable costs of the Neutral Auditor will be borne by the Seller, otherwise the reasonable costs of the Neutral Auditor will be borne by the Purchasers.
The Neutral Auditor shall give written reasons for its determination regarding the calculation of the Buydown Gold Ounces and Buydown Premium.
If the Seller and the Administrative Agent (at the direction of the Majority Purchasers) cannot mutually agree upon a Neutral Auditor within five (5) Business Days of the expiry of the foregoing ten (10) Business Day period, then the Seller or the Administrative Agent (at the direction of the Majority Purchasers) may make a request to ADRIBC to appoint the Neutral Auditor.
