Independent Expert definition

Independent Expert means a Person with no material current or prior business or personal relationship with the Sponsor, who is engaged to a substantial extent in the business of rendering opinions regarding the value of assets of the type held by the Company, and who is qualified to perform such work.
Independent Expert means a Person or entity with no material current or prior business or personal relationship with the Advisor or the Directors and who is engaged to a substantial extent in the business of rendering opinions regarding the value of assets of the type held by the Company.
Independent Expert has the meaning set forth in Section 2.7(b).

Examples of Independent Expert in a sentence

  • A copy of all materials submitted to the Independent Expert pursuant to the immediately preceding sentence shall be provided by Seller or Parent, as applicable, no later than the deadline set forth in the Independent Expert Notice (as the same may be amended by the mutual written consent of the Independent Expert, Parent and Seller), and a copy of such materials shall be provided to the other party concurrently with the submission thereof to the Independent Expert.

  • The Independent Expert shall act in the capacity of an expert and not as an arbitrator.

  • In the event any party shall participate in teleconferences or meetings with, or make live presentations to, the Independent Expert, the other party shall be entitled to participate in such teleconferences, meetings or presentations.

  • Subject to the foregoing, the terms of appointment and engagement of the Independent Expert shall be as agreed upon between Parent and Seller in writing.


More Definitions of Independent Expert

Independent Expert means a suitably qualified investment banking firm, accounting firm or other firm of professional valuators of internationally recognised standing, with input from an individual with requisite technical expertise as appropriate; provided that unless the Members agree otherwise, an Independent Expert shall be a firm that: (i) is independent of both of the Members and their respective Affiliates; and (ii) has not acted for either of the Members or their respective Affiliates in any material capacity for at least one year before the date of appointment of such Independent Expert; and
Independent Expert. , in relation to a Dispute, means the person appointed or to be appointed pursuant to the Agreement to resolve that Dispute.
