  • Except as set forth on Section 3.2(a) of the Target Disclosure Schedule, since December 31, 2010 through the date hereof, Target has not (A) issued or repurchased any shares of Target Common Stock, Voting Debt or other equity securities of Target or (B) issued or awarded any options, restricted shares or any other equity-based awards under the Target Stock Plan.

  • Company Stock Plan means any stock option plan or other stock or equity-related plan of the Company.
