Tag Offer definition

Tag Offer has the meaning given in Clause 3.2.3.

  • Such Transfer is required to be completed within 30 business days from the expiry of the Tag Offer Period.

  • The Promoter Tag Offer Notice shall specify the terms of the proposed sale including the purchase price, details of the proposed purchaser and the proposed Transfer date and specify whether such Transfer by the Investor will result in the transferee acquiring Control of the Company.

  • Subject to Article 1.1 (c), if the Investor wishes to sell all or part of the Securities held by the Investor in the Company (the "Investor Transfer Securities") to any third party, the Investor shall notify the Promoter in writing of such proposed sale ("Promoter Tag Offer Notice").

  • In the event no Tagging Shareholder exercises its Tag Along Right within the Tag Acceptance Period, the Tag Seller shall complete the sale of the Transfer Shares to the Tag Purchaser within 90 (ninety) days of the expiry of the Tag Acceptance Period on the same terms and at the same price as specified in the Tag Offer Notice, failing which the procedure set out in this Article 110 shall be repeated.

  • The Tag Seller shall as soon as it makes a decision to sell and Transfer the relevant Transfer Shares to the Tag Purchaser, and in any case at least 30 (thirty) Business Days prior to the date of completion of such Transfer, issue a written notice to each of the Tagging Shareholders (“ Tag Offer Notice“).

  • In the event that a Tagging Shareholder elects to exercise its Tag-Along Right, it shall deliver a written notice (“ Tag Acceptance Notice”) to the Tag Seller specifying the number of Shares (“Tagged Shares”) the Tagging Shareholder intends to sell to the Tag Purchaser, within 30 (thirty) days from the receipt of the Tag Offer Notice (such period, the “Tag Acceptance Period”).

  • For the purposes of this Regulation 21, no Tag Offer need be made to purchase any fraction of a Share.

  • No Proposed Sale may be made or validly registered unless the proposed purchaser has offered ( "Tag Offer") to purchase, simultaneously with the Proposed Sale, from the other Shareholders ("Eligible Tag Shareholders") all of the Shares held by the Eligible Tag Shareholders.

Related to Tag Offer

  • Bona Fide Offer means an actual or genuine offer which includes a specific wage or a training opportunity at a specified place when used to determine whether the parent has refused an offer of training or employment.

  • Initial Offer means the initial offer of Participating Shares in a Fund as set out in the applicable Supplement;

  • pre-emptive offer means an offer of equity securities open for acceptance for a period fixed by the Directors to holders (other than the Company) on the register on a record date fixed by the Directors of ordinary shares in proportion to their respective holdings but subject to such exclusions or other arrangements as the Directors may deem necessary or expedient in relation to treasury shares, fractional entitlements, record dates or legal, regulatory or practical problems in, or under the laws of, any territory;

  • Sell Offer means an offer to sell Capacity Resources in a Base Residual Auction, Incremental Auction, or Reliability Backstop Auction.

  • Offer Shares means the Hong Kong Offer Shares and the International Offer Shares being offered at the Offer Price under the Global Offering together with any additional Shares to be issued pursuant to the exercise of the Over-Allotment Option;

  • Third Party Offer has the meaning set out in Section 6.4;

  • Final Offer means the offer on which a resource was dispatched by the Office of the Interconnection for a particular clock hour for the Operating Day. Final RTO Unforced Capacity Obligation:

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.

  • First Offer has the meaning set forth in Section 3.9(e)(1) or Section 11.1(b)(i), as applicable.

  • Tag or “RFID tag” means the unique identification number or Radio Frequency Identification (RFID) issued to a licensee by the agency for tracking, identifying and verifying marihuana plants, marihuana products, and packages of marihuana product in the statewide monitoring system.

  • Offer Notice shall have the meaning set forth in Section 4.1.

  • Offered Shares has the meaning set forth in Section 3.02(a).

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • Standing Offer means the Contractor agrees to provide the Works from time to time if and when authorised by the Superintendent by the issue of an Order. The Contractor agrees that the Principal is not obliged to order a specific number of, or any, Works during the term of the Contract.

  • Sale Notice has the meaning set forth in Section 9.18(b).
