• If the Other Proposal is not consummated within ninety (90) days or such shorter period of time as set forth in the Right of First Offer Notice, or any of the material terms in the Other Proposal change following Purchaser’s waiver of its purchase rights in connection with this Section 2.08, then the sale of such Other Vertical(s) or Vistio shall be subject to the provisions of this Section 2.08(e) again.

• The First Offer Notice shall contain (a) the purchase price at which Landlord would be willing to sell the Office Complex; and (b) any other major material terms with respect to the proposed sale of the Office Complex, which terms shall beconsistent with then current market terms, all as determined by Landlord in its sole, but commercially reasonable, discretion.

• Subject to the terms of this Section 1.3.1, Landlord shall notify Tenant from time to time (the "First Offer Notice") when a Potential First Offer Space or any portion thereof (a “First Offer Space”) will become available for lease to third parties, free and clear of the rights of any Superior Right Holder.
