The Company shall complete the Subsequent Placement and issue and sell the Subscription Amount to the Buyer upon terms and conditions (including, without limitation, unit prices and interest rates) set forth in the Offer Notice, unless a change to such terms and conditions is agreed to in writing between the Company and Buyer.
Notwithstanding the foregoing or anything to the contrary herein, ▇▇▇▇▇▇▇▇’s obligation to deliver the First Offer Notice shall not apply during any renewal or extension of the initial Lease Term.

The closing of any sale pursuant to this Section 2(a) shall occur on such date as the Company may determine, which date shall be within the later of 120 days after the date that the Offer Notice is given and the date of initial sale of New Securities pursuant to Section 2(a)(iii).
