Third Party Offer definition

Third Party Offer has the meaning set out in Section 6.4;

Third Party Offer shall have the meaning set forth in Section 4(a) hereof.

• If the Purchaser wishes to sell its shares of the Company to the third party on the same terms and condition as contained in the Third Party Offer, then the Company shall not be entitled to sell, merge, exchange, consolidate, transfer or otherwise dispose of shares of the Company unless the third party purchases the Purchaser’s shares in the Company at the same time, and on the same terms and conditions.
