Signage Conditions definition

Signage Conditions shall be satisfied if and only if (i) a Coach Tenant is Tenant under this Lease (except that this clause (i) shall not apply with respect to the Building Lobby Signage and the Coach Lobby Signage; provided, that such signage shall only be granted to a Tenant which is not a Coach Tenant, or to a permitted subtenant of Tenant, which occupies at least 5 floors of the Building and such Building Lobby Signage and Coach Lobby Signage shall be subject to Landlord’s reasonable consent), (ii) this Lease has not been terminated and (iii) (x) with respect to the Exterior Signage, the Building Lobby Signage, the Coach Lobby Signage and the provisions of Section 13.02, a Coach Tenant occupies at least 5 full floors of the Building and (y) with respect to the provisions of Section 13.05, a Coach Tenant occupies more than 50% of the Office Premises initially demised to Tenant under this Lease.
Signage Conditions means, collectively, the following: (i) VOR Biopharma, Inc. leases in the aggregate more than 83,235 rentable square feet in the Building (the “Signage Rentable Area Threshold”); (ii) VOR Biopharma, Inc. occupies in the aggregate more than 65,000 rentable square feet in the Building; (iii) the Lease is in full force and effect, and (iv) no Event of Default (which remains uncured after any applicable grace period) shall have occurred and be continuing. All aspects of said lobby signage and/or monument signage (including the size, location, design, materials, colors and appearance thereof) shall be subject to the prior review and approval of Landlord in all respects, which approval shall not be unreasonably withheld, conditioned or delayed.

Examples of Signage Conditions in a sentence

  • Following receipt of all necessary governmental approvals and so long as the Signage Conditions are satisfied, Landlord, at Tenant’s sole cost and expense, shall fabricate, construct and thereafter install the Panel on the Monument Sign.

  • Following receipt of all necessary governmental approvals and so long as the Signage Conditions are satisfied, Landlord, at Tenant’s sole cost and expense, shall fabricate, construct and thereafter install the Panels on the Monument Sign.

  • Provided that all Signage Conditions are satisfied, then, subject to all Applicable Rules and Restrictions, Tenant shall have the non-exclusive right throughout the Lease Term to install one sign on the fascia of the One Almaden Building (“One Almaden Sign”) provided that Landlord, acting reasonably, approves the One Almaden Sign (including all structural engineering and aesthetic aspects thereof) and the exact location where the same is to be installed.

  • Tenant's right to install the One Riverside Center Sign shall, however, be subject to the satisfaction of all of the One Riverside Signage Conditions (defined in subsection XI.B. below).

  • Provided that Tenant has complied with and/or satisfied all of the Tenant’s Complex Signage Conditions and the Shared Lobby Sign Conditions (as defined below), Tenant shall have the right, upon at least thirty (30) days’ prior written notice to Landlord (the “Shared Lobby Sign Notice”), to install in the shared lobby between the Building and the 2825 E.

  • Provided that Tenant has complied with and/or satisfied all of the Tenant’s Complex Signage Conditions and the Shared Lobby Sign Conditions (as defined below), Tenant shall have the right, upon at least thirty (30) days’ prior written notice to Landlord (the “Shared Lobby Sign Notice”), to install in the shared lobby between the Building and the 0000 X.

  • In addition, if Tenant’s right to exclusive signage on the side of the Building on which Tenant’s Transbay Signage is located terminates following the date that Landlord notifies Tenant that Tenant no longer satisfies the Tenant’s Signage Conditions, such right to exclusive signage shall be of no further force and effect from and after the date of Tenant’s receipt of such notice from Landlord, regardless of whether Tenant once again satisfies Tenant’s Signage Conditions.


More Definitions of Signage Conditions

Signage Conditions are that: (a) the originally named Tenant is occupying and paying full Rent on at least 80% of the rentable area of the original Premises; (b) no Event of Default exists; and (c) this Lease is in full force and effect. Prior to the Surrender Date (as defined in Section 18(a)), or immediately upon any of the Signage Conditions no longer being satisfied, Landlord shall have the right, at Tenant’s sole cost and expense, to remove the Panel and repair and restore the Monument Sign to its prior existing condition. With respect to clause (i) above, Landlord’s determination and selection of the size, location, specifications, and design of the Panel may take into account the necessity to reserve or reallocate space for signage for existing and future tenants of the Building and in furtherance of the foregoing, Landlord shall have the right to require that the Panel be replaced with a Panel of a different size, configuration, or design, from time to time, and the Panel’s placement on the Monument Sign may be relocated on such sign by Landlord, from time to time, at Landlord’s sole costs and expense. Tenant shall pay Landlord for any costs due under this paragraph either, at Landlord’s election, as part of the Additional Rent or within 30 days after receipt of Landlord’s invoice therefor. Except as expressly set forth otherwise in this Lease, Tenant shall not place, erect, or maintain any signs at the Premises, the Building, or the Project that are visible from outside of the Premises.

Related to Signage Conditions

  • Mortgage Conditions means the mortgage conditions booklet reference MORT 0154 MAY 13 HF;

  • Specific Conditions means the conditions in addition or in variation to the general conditions which the Commission may lay down specifically for a distribution licensee;

  • Unsafe condition as used in this clause means the actual or potential exposure of contractor or Government employees to a hazardous material as defined in Federal Standard No. 313, and any revisions thereto during the term of this contract, or any other material or working condition designated by the Contracting Officer's Technical Representative (COTR) as potentially hazardous and requiring safety controls.

  • Normal Operating Conditions means those Service conditions which are within the control of Grantee. Those conditions which are not within the control of Grantee include, but are not limited to, natural disasters, civil disturbances, power outages, telephone network outages, and severe or unusual weather conditions. Those conditions which are ordinarily within the control of Grantee include, but are not limited to, special promotions, pay-per-view events, rate increases, regular peak or seasonal demand periods, and maintenance or upgrade of the Cable System.

  • General Conditions means the “International Development Association General Conditions for Credits and Grants”, dated July 1, 2005 (as amended through October 15, 2006).

Any one or more of the aforementioned performance criteria may be stated as a percentage of another performance criteria, or used on an absolute or relative basis to measure the performance of one or more members of the Company Group as a whole or any divisions or operational and/or business units, product lines, brands, business segments, or administrative departments of the Company and/or one or more members of the Company Group or any combination thereof, as the Committee may deem appropriate, or any of the above performance criteria may be compared to the performance of a selected group of comparison companies, or a published or special index that the Committee, in its sole discretion, deems appropriate, or as compared to various stock market indices.

  • Special Conditions means Special Conditions of Contract, which override the General Conditions, also referred to as SCC.
