Shelf Notice Date definition

Shelf Notice Date has the meaning set forth in Section 2(a).

The Registration Statement will be on either Form S-3 or F-3 (except if the Company is not then eligible to register for resale the Registrable Securities on either such form, in which case such registration will be on Form S-1 or F-1, and if for any reason the Company is not then eligible to register for resale the Registrable Securities on Form S-1 or F-1, then another appropriate form for such purpose) and will contain (except if otherwise required pursuant to written comments received from the Commission upon a review of such Registration Statement) a “Plan of Distribution” section, substantially in the form attached hereto as Annex A, as the same may be amended in accordance with the provisions of this Agreement. The Company will use its reasonable best efforts to cause the Registration Statement to be declared effective under the Securities Act as soon as possible but, in any event, no later than the Effectiveness Deadline, and will use its reasonable best efforts to keep the Registration Statement (or a Subsequent Shelf) continuously effective under the Securities Act from the date of effectiveness of such Registration Statement until such date when all Registrable Securities covered by the Registration Statement cease to be Registrable Securities as determined by the counsel to the Company (the “Effectiveness Period”).
