The Depositor intends to sell the Certificates to the Underwriters and the Initial Purchasers.
Upon acceptance of appointment by a successor Trustee or Certificate Administrator as provided in this Section 8.8, the successor Trustee or Certificate Administrator shall mail notice of the succession of such Trustee or Certificate Administrator hereunder to all Holders of Certificates at their addresses as shown in the Certificate Register, the RR Interest Owners, the Depositor, the Servicer, the Special Servicer, the Borrowers, the Initial Purchasers and the Companion Loan Holders.
Notice of any removal of the Trustee or the Certificate Administrator and acceptance of appointment by the successor Trustee or Certificate Administrator shall be given to the Companion Loan Holders, each Rating Agency (through the successor 17g-5 Information Provider’s website, as applicable) and the Initial Purchasers by the successor Trustee or Certificate Administrator, as applicable.
If a Transfer (other than one by the Depositor to an Affiliate thereof or by the Initial Purchasers to the Retaining Parties) is to be made in reliance upon an exemption from the Securities Act, and under the applicable state securities laws, then the following subsections (a)-(d) shall apply.
No Person other than a party to this Agreement, the Initial Purchasers, any Certificateholder and any RR Interest Owner shall have any rights with respect to the enforcement of any of the rights or obligations hereunder.
