Share Mortgages definition

Share Mortgages means the share mortgages granted by each of the Security Providers (as defined in the Note Purchase Agreement) in favour of the Investor on the Closing Date in the forms attached to the Note Purchase Agreement as Exhibit 4.
Share Mortgages means the mortgages and charges created or purported to be created by Clause 3 hereof.
Share Mortgages means the Existing Share Mortgages and the New Share Mortgages; and Share Mortgages means any two or more of them, as the context may require;

  • Some of these Mortgages, such as Cooperative Share Mortgages, have special characteristics that do not change and that result in their being pooled separately on a permanent basis.

  • It is expressly agreed that, notwithstanding anything to the contrary herein contained, each Obligor shall remain liable to observe and perform all of the conditions and obligations assumed by it in respect of the Security Shares and Securities and none of the Borrower Security Trustee, the Borrower Secured Creditors, the Subordinated Security Trustee or the Subordinated Secured Creditors shall be under any obligation or liability by reason of or arising out of the Share Mortgages.

  • The company’s right to recover the loans is limited to the amount it will receive on realisation of its security under the Share Mortgages.

  • The security includes the Assets Mortgage and the Share Mortgages.

  • Incentive Shares will be in certificated form during the Restriction Period and during the period of the Share Mortgages the Shares will be the subject of share certificates and will not be tradeable through the system operated by the ASX Settlement and Transfer Corporation Pty Ltd.


More Definitions of Share Mortgages

Share Mortgages means collectively the ANC Share Mortgage, the EAN Share Mortgage and each of the mortgages or similar security documents in agreed form creating Security Interests to be entered into by the relevant Security Party set out in Schedule 12 Column 1 in favour of the Security Trustee over, inter alia, shares of the members of the Group in form and substance satisfactory to the Finance Parties.
Share Mortgages means the mortgages and charges created or purported to be created by Clause 3.1 (Mortgage).
Share Mortgages has the meaning as defined in the Memorandum and Articles.
Share Mortgages means the mortgages and charges created or purported to be created over any Group Shares and/or their Related Rights by Clause 5.2 (Charges on Group Shares) of this Deed and/or by any Deed of Accession;
Share Mortgages means (i) the Share Mortgage (Ambow College Management Limited), (ii) the Share Mortgage (Ambow Education Management (Hong Kong) Limited), (iii) the Share Mortgage (Ambow Education (Hong Kong) Limited), (iv) the Share Mortgage (Ambow Education Co. Ltd.), (v) the Share Mortgage (Ambow Education Ltd.), (vi) the Share Mortgage (Ambow Education Management Ltd.) and (vii) the Share Mortgage (Ambow Training Management Limited); and Share Mortgages means any two or more of them, as the context may require;
Share Mortgages means, collectively, (a) the UK Share Mortgages and (b) the Singapore Share Charges.

Related to Share Mortgages

  • Existing Mortgages means the Mortgages executed and delivered in connection with the Existing Credit Agreement.

  • Mortgages means, individually and collectively, one or more mortgages, deeds of trust, or deeds to secure debt, executed and delivered by Parent or its Subsidiaries in favor of Agent, in form and substance reasonably satisfactory to Agent, that encumber the Real Property Collateral.

  • Existing Mortgage has the meaning specified in Section 5.02(a)(vi).

  • First Mortgage means a Mortgage that constitutes a first Lien on the real property and improvements described in or covered by that Mortgage.

  • Aircraft Mortgage means that “Aircraft Mortgage” as defined in Section 4.01(e), as the same may be amended, restated, modified, supplemented, extended or amended and restated from time to time.

  • Share Pledge Agreement has the meaning given such term in the definition of Collateral and Guaranty Requirements.

  • Deeds of Trust means, collectively, (i) the Deeds of Trust, Assignments, Security Agreements and Financing Statements, (ii) the Mortgages, Assignments, Security Agreements and Financing Statements, and (iii) the Deeds to Secure Debt, Assignments, Security Agreements and Financing Statements from the Borrowers, constituting Liens on the Mortgaged Sites as Collateral for the Loan as the same have been, or may be, assigned, modified or amended from time to time.

  • Financing Statements The meaning specified in Section 9-102(a)(39) of the UCC.

  • Collateral Assignment means, with respect to any Contracts, the original instrument of collateral assignment of such Contracts by the Company, as Seller, to the Collateral Agent, substantially in the form included in Exhibit A hereto.

  • Mortgage Instrument means any mortgage, deed of trust or deed to secure debt executed by a Credit Party in favor of the Administrative Agent, for the benefit of the Secured Parties, as the same may be amended, modified, extended, restated, replaced, or supplemented from time to time.

  • Pledge Instruments With respect to each Cooperative Loan, the Stock Power, the Assignment of Proprietary Lease and the Security Agreement.
