Notwithstanding the foregoing, (i) Seller need not disclose to Purchaser any information which would violate applicable Law, result in a breach of attorney-client privilege or similar privilege, violate any confidentiality or nondisclosure agreement or similar agreement or arrangement to which Seller is a party and (ii) Seller may redact such portions of the Retained Information that do not directly relate to the Conveyed Assets, the Assumed Liabilities or the Business.
Such Retained Information shall be treated by the Receiving Party in accordance with this Agreement.
Upon written request by the Disclosing Party, the Receiving Party shall provide to the Disclosing Party or shall cause to be provided to the Disclosing Party, a written confirmation executed by a duly authorized officer of the Receiving Party that all copies of any Confidential Information (other than Retained Information) or any portion thereof have been returned or destroyed and shall no longer be used in any manner whatsoever by the Receiving Party.
Within forty-five (45) days after the Effective Date, BNP shall (A) deliver to NaPro all Confidential Information received from NaPro that is in tangible form, (B) destroy all such Confidential Information that is in electronic form, and (C) destroy all documents created by BNP or its agents which contain or incorporate such Confidential Information, except for the Confidential Information specified on Exhibit C-1 ("BNP Retained Information").
BNP shall under no circumstances use any Confidential Information, including any Retained Information, for the purposes of manufacturing or having manufactured bulk Paclitaxel.
